CONTRACT FOR THE STORAGE OF GOODS
This Contract for the Storage of Goods ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{Storage_Provider_Company_Name}}, a company duly incorporated under the laws of {{Country}}, with its principal place of business at {{Storage_Provider_Address}} (hereinafter referred to as "the Storage Provider");
AND
{{Client_Company_Name}}, a company duly incorporated under the laws of {{Country}}, with its principal place of business at {{Client_Address}} (hereinafter referred to as "the Client").
Collectively referred to as "the Parties".
1. SCOPE OF SERVICES
1.1. The Storage Provider agrees to store the Client's goods, as more fully described in Schedule A (hereinafter referred to as "the Goods"), at its facility located at {{Storage_Facility_Address}} ("the Storage Facility").
1.2. The Storage Provider shall provide adequate and secure storage conditions for the Goods, including protection against theft, damage, and environmental elements, in accordance with industry standards.
2. DURATION OF AGREEMENT
2.1. This Agreement shall commence on {{Start_Date}} and shall continue for a period of {{Number_of_Months}} months, terminating on {{End_Date}}, unless earlier terminated in accordance with the provisions of this Agreement.
2.2. Either Party may terminate this Agreement by providing {{Notice_Period_Days}} days' written notice to the other Party.
3. STORAGE FEES AND PAYMENT
3.1. The Client shall pay the Storage Provider a storage fee of {{Currency}} {{Amount_Per_Month}} per month, payable in advance on the first day of each month.
3.2. Invoices will be issued by the Storage Provider on or before the {{Invoice_Day}} day of each month and shall be payable within {{Payment_Terms_Days}} days of the invoice date.
3.3. A late payment penalty of {{Late_Payment_Interest_Rate}}% per month shall be applied to overdue payments.
4. ACCESS TO GOODS
4.1. The Client shall have access to the Goods during the Storage Provider's normal business hours, or by prior arrangement.
4.2. The Client shall provide adequate notice, not less than {{Notice_Period_Hours}} hours, for any retrieval or deposit of Goods.
5. INSURANCE
5.1. The Client is responsible for insuring the Goods against all risks, including but not limited to loss, damage, or theft. The Storage Provider shall not be liable for any uninsured losses.
5.2. The Client shall provide proof of insurance to the Storage Provider upon request.
6. LIMITATION OF LIABILITY
6.1. The Storage Provider's liability for any loss or damage to the Goods shall be limited to {{Currency}} {{Liability_Limit}} per incident or the declared value of the Goods, whichever is lower.
6.2. The Storage Provider shall not be liable for indirect, consequential, or special damages arising out of or in connection with this Agreement.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{Country}}.
7.2. Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiations. If a resolution cannot be reached, the dispute shall be referred to mediation in accordance with the rules of {{Mediation_Body}}.
8. ENTIRE AGREEMENT
8.1. This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating to the subject matter hereof.
