International Agent Agreement
This International Agent Agreement ("Agreement") is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:
{{principal_company_name}}, a company duly incorporated under the laws of {{principal_country}}, with its principal place of business at {{principal_company_address}} (hereinafter referred to as "Principal"); and
{{agent_company_name}}, a company duly incorporated under the laws of {{agent_country}}, with its principal place of business at {{agent_company_address}} (hereinafter referred to as "Agent").
Collectively, the Principal and the Agent shall be referred to as “Parties” and individually as “Party”.
1. Appointment of Agent
1.1 The Principal hereby appoints the Agent as its exclusive/non-exclusive agent for the promotion, marketing, and sale of its products/services, namely {{product_service_description}}, within the territory of {{territory_description}} (hereinafter referred to as the "Territory").
1.2 The Agent accepts such appointment and agrees to diligently perform the duties and responsibilities as set forth in this Agreement.
2. Term of Agreement
2.1 This Agreement shall commence on {{effective_date}} and shall continue for a period of {{term_length}} years/months, unless terminated earlier in accordance with the provisions of this Agreement.
2.2 This Agreement may be renewed upon mutual written agreement of both Parties.
3. Duties and Responsibilities of Agent
3.1 The Agent shall use its best endeavors to promote, market, and sell the Principal's products/services within the Territory.
3.2 The Agent shall provide regular reports to the Principal detailing its activities, sales performance, and market conditions in the Territory.
3.3 The Agent shall not represent any competing products or services within the Territory without the prior written consent of the Principal.
3.4 The Agent shall be responsible for all its operating expenses incurred in performing its duties under this Agreement.
4. Compensation
4.1 The Principal shall pay the Agent a commission of {{commission_percentage}}% on the net sales price of all products/services sold by the Agent within the Territory.
4.2 Commissions shall be calculated and paid on a {{payment_frequency}} basis, within {{payment_days}} days of the end of each {{payment_period}}.

5. Intellectual Property
5.1 The Agent acknowledges that all intellectual property rights, including trademarks, copyrights, and patents, related to the Principal's products/services belong to the Principal.
5.2 The Agent shall not use the Principal's intellectual property for any purpose other than as expressly authorized in this Agreement.
5.3 The Agent agrees to notify the Principal immediately of any infringement or suspected infringement of the Principal's intellectual property rights.
6. Confidentiality
6.1 Both Parties agree to keep confidential all proprietary and confidential information disclosed by the other Party during the term of this Agreement and for a period of {{confidentiality_period}} years thereafter.
6.2 Confidential information includes, but is not limited to, business plans, financial data, customer lists, and product specifications.
7. Termination
7.1 Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement.
7.2 Upon termination, the Agent shall cease all activities related to the Principal's products/services and return all Principal's property and confidential information.
8. Governing Law and Dispute Resolution

8.2 Any dispute arising out of or in connection with this Agreement shall be submitted to arbitration in accordance with the rules of {{arbitration_body}} in {{arbitration_city}}, {{arbitration_country}}.
