MARKETING AGENCY AGREEMENT

THIS MARKETING AGENCY AGREEMENT ("Agreement") is made and entered into as of this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{client_company_name}}, a company duly incorporated and registered under the laws of {{country}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "Client");

AND

{{agency_company_name}}, a company duly incorporated and registered under the laws of {{country}}, with its principal place of business at {{agency_company_address}} (hereinafter referred to as "Agency").

Collectively, the Client and the Agency shall be referred to as "Parties" and individually as "Party."

1. ENGAGEMENT AND SERVICES

1.1. The Client hereby engages the Agency, and the Agency hereby accepts such engagement, to provide marketing services as more fully described in Schedule A (the "Services"). The Services shall commence on {{start_date}} and shall continue for a period of {{contract_duration}} unless terminated earlier in accordance with the terms of this Agreement.

1.2. The Agency shall perform the Services in a professional and workmanlike manner, in accordance with industry standards and best practices, and shall use its best efforts to achieve the marketing objectives agreed upon by the Parties.

2. COMPENSATION

2.1. In consideration for the Services rendered by the Agency, the Client shall pay the Agency a fee as set out in Schedule B (the "Fee"). The Fee shall be payable in {{currency}} on a {{payment_frequency}} basis, within {{payment_due_days}} days of receipt of an invoice from the Agency.

2.2. In addition to the Fee, the Client shall reimburse the Agency for all reasonable out-of-pocket expenses incurred by the Agency in connection with the performance of the Services, provided that such expenses are pre-approved by the Client in writing. All expenses shall be accompanied by appropriate receipts or other supporting documentation.

2.3. All payments due to the Agency under this Agreement shall be made without deduction or set-off.

3. TERM AND TERMINATION

3.1. This Agreement shall commence on the Effective Date and shall continue until {{end_date}}, unless terminated earlier by either Party in accordance with the provisions of this Agreement.

3.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

3.3. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receipt of written notice requiring it to do so; or (b) becomes insolvent, files for bankruptcy, or is subject to similar proceedings.

4. INTELLECTUAL PROPERTY

4.1. All intellectual property rights, including copyrights, trademarks, and patents, in any materials, works, or deliverables created by the Agency in the course of providing the Services (the "Deliverables") shall belong to the Client upon full payment of the Fee.

4.2. The Agency warrants that the Deliverables will not infringe the intellectual property rights of any third party.

5. CONFIDENTIALITY

5.1. Both Parties agree to keep confidential all non-public information disclosed by one Party to the other, whether orally or in writing, that is designated as confidential or that, by its nature, would reasonably be understood to be confidential ("Confidential Information").

5.2. Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing Party, except as required by law or to the Parties' employees, agents, or subcontractors who have a need to know such information for the purpose of performing this Agreement and who are bound by similar confidentiality obligations.

5.3. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

6. LIMITATION OF LIABILITY

6.1. Neither Party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to this Agreement, including lost profits, loss of data, or interruption of business.

6.2. The total liability of the Agency to the Client for any and all claims arising out of or relating to this Agreement shall not exceed the total amount of fees paid by the Client to the Agency under this Agreement during the {{liability_period}} months preceding the event giving rise to the claim.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through amicable negotiations between the Parties. If the Parties are unable to reach an amicable resolution within {{negotiation_period_days}} days, the dispute shall be submitted to mediation in accordance with the rules of {{mediation_body}}.

7.3. If mediation fails, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_body}}.

8. ENTIRE AGREEMENT

This Agreement, including its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
