Parties to the Agreement
This Merchandising and Marketing Agreement ("Agreement") is made and entered into on this {{agreement_date}} by and between:
{{company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "The Company"), and
{{merchandiser_name}}, with principal place of business/address at {{merchandiser_address}} (hereinafter referred to as "The Merchandiser").
Scope of Services
The Company hereby engages The Merchandiser to provide merchandising and marketing services as detailed in Schedule A (Scope of Services) attached hereto and forming an integral part of this Agreement.
The Merchandiser shall be responsible for tasks including but not limited to: product placement, display setup, promotional activities, market research, and brand representation in designated retail outlets or channels.
Specific marketing campaigns and objectives will be agreed upon in writing between the parties prior to execution.
Term and Termination
This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_term_duration}} (e.g., twelve months), unless terminated earlier in accordance with the provisions of this Agreement.
Either party may terminate this Agreement by providing {{notice_period}} days' written notice to the other party. Grounds for immediate termination may include breach of contract, insolvency, or gross misconduct.
Compensation and Payment Terms

All payments shall be made in {{currency}} to the account specified by The Merchandiser.
Confidentiality
The Merchandiser agrees to keep confidential all proprietary information, trade secrets, business plans, and customer data of The Company, both during and after the term of this Agreement.
This obligation of confidentiality shall not apply to information that is publicly available or becomes publicly available through no fault of The Merchandiser.
Independent Contractor Status
The Merchandiser shall perform the services as an independent contractor and not as an employee, partner, or agent of The Company.
The Merchandiser shall be solely responsible for all taxes, national insurance, and other statutory contributions related to the compensation received under this Agreement.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}} in accordance with the rules of {{arbitration_institution}}.
