SALES AGENCY AGREEMENT

This Sales Agency Agreement (“Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}} (the “Effective Date”), by and between:

{{company_name}}, a company duly incorporated under the laws of {{country}}, with its registered office located at {{company_address}} (hereinafter referred to as “Principal”),

AND

{{agent_name}}, an individual residing at {{agent_address}} / a company duly incorporated under the laws of {{country}}, with its registered office located at {{agent_address}} (hereinafter referred to as “Agent”).

1. APPOINTMENT

1.1 The Principal hereby appoints the Agent as its [Exclusive/Non-Exclusive] sales agent for the sale of the Principal's products/services, specifically {{product_service_description}}, (hereinafter referred to as “Products/Services”) within the territory of {{territory}} (hereinafter referred to as “Territory”).

1.2 The Agent accepts such appointment and agrees to use its best endeavors to promote the sale of the Products/Services in the Territory.

2. TERM OF AGREEMENT

2.1 This Agreement shall commence on the Effective Date and shall continue for a period of {{term_length}} ([months/years]) unless terminated earlier in accordance with the provisions of this Agreement.

2.2 This Agreement may be renewed upon mutual written agreement of both parties.

3. AGENT'S RESPONSIBILITIES

3.1 The Agent shall diligently and professionally market and promote the Products/Services to potential customers within the Territory.

3.2 The Agent shall provide regular reports to the Principal regarding sales activities, market conditions, and customer feedback, as reasonably requested by the Principal.

3.3 The Agent shall not, without the Principal's prior written consent, sell or promote any products or services that directly compete with the Principal's Products/Services within the Territory.

3.4 The Agent shall bear all costs and expenses incurred in the performance of its duties under this Agreement, including but not limited to travel, marketing materials, and office expenses, unless otherwise agreed in writing.

4. PRINCIPAL'S RESPONSIBILITIES

4.1 The Principal shall provide the Agent with adequate product information, marketing materials, and technical support necessary to facilitate the sale of the Products/Services.

4.2 The Principal shall process all orders submitted by the Agent in a timely and efficient manner.

4.3 The Principal shall pay the Agent commissions as stipulated in Clause 5 of this Agreement.

5. COMMISSION

5.1 The Principal shall pay the Agent a commission of {{commission_percentage}}% of the net sales price of all Products/Services sold by the Agent within the Territory and successfully delivered and paid for.

5.2 Commissions shall be calculated on a {{commission_period}} basis and paid within {{payment_days}} days of the end of each period.

5.3 The Principal shall provide the Agent with a detailed statement of sales and commission calculations with each payment.

6. CONFIDENTIALITY

6.1 Both parties agree to keep confidential all proprietary and confidential information disclosed by the other party during the term of this Agreement and for a period of {{confidentiality_period}} thereafter.

6.2 Confidential information includes, but is not limited to, business plans, customer lists, pricing strategies, and technical data.

7. INDEMNIFICATION

7.1 Each party shall indemnify and hold harmless the other party, its officers, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising out of or related to their respective breaches of this Agreement or their negligence or willful misconduct.

8. TERMINATION

8.1 Either party may terminate this Agreement by giving {{notice_period}} days' written notice to the other party.

8.2 This Agreement may be terminated with immediate effect by either party in the event of a material breach of this Agreement by the other party, which breach is not cured within {{cure_period}} days of written notice thereof.

8.3 Upon termination, the Agent shall cease all sales activities and return all property and confidential information belonging to the Principal.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

9.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

10. ENTIRE AGREEMENT

10.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof.

10.2 Any amendments or modifications to this Agreement must be in writing and signed by both parties.
