SEO Services Agreement

This SEO Services Agreement ("Agreement") is entered into as of {{date}} ("Effective Date"), by and between:

{{client_company_name}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "Client"), AND

{{agency_company_name}}, with its principal place of business at {{agency_company_address}} (hereinafter referred to as "Agency").

Client and Agency may hereinafter be referred to individually as “Party” and collectively as “Parties.”

1. Scope of Services

The Agency agrees to provide the following Search Engine Optimization (SEO) services to the Client (collectively, the “Services”):

a. Keyword Research and Analysis: Identification of relevant keywords for Client’s target audience.

b. On-Page Optimization: Optimization of website content, meta tags, headers, and internal linking structure.

c. Technical SEO Audit: Identification and resolution of technical issues impacting search engine crawlability and indexing.

d. Link Building: Development and implementation of strategies to acquire high-quality backlinks.

e. Content Strategy Recommendations: Recommendations for creating SEO-friendly content.

f. Monthly Performance Reports: Provision of monthly reports detailing SEO performance, keyword rankings, traffic, and other relevant metrics.

2. Client Obligations

The Client agrees to provide the Agency with:

a. Access to relevant website analytics (e.g., Google Analytics, Google Search Console).

b. Access to the website’s Content Management System (CMS) or FTP for implementation of SEO recommendations.

c. Approval for content changes and proposed SEO strategies within {{approval_days}} business days.

d. Timely feedback and information as reasonably requested by the Agency to perform the Services.

3. Fees and Payment

In consideration for the Services provided, the Client shall pay the Agency a non-refundable fee of {{currency}}{{amount}} per month, payable in advance on the {{payment_day}} of each month.

Payment shall be made via {{payment_method}}.

Any additional services requested by the Client outside the scope of this Agreement will be subject to a separate written agreement and additional fees.

4. Term and Termination

This Agreement shall commence on the Effective Date and continue for an initial term of {{initial_term_months}} months, automatically renewing for successive {{renewal_term_months}}-month periods unless either Party provides written notice of non-renewal at least {{notice_period_days}} days prior to the end of the then-current term.

Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any of its obligations hereunder and fails to cure such breach within {{cure_period_days}} days following receipt of written notice thereof.

5. Confidentiality

Both Parties agree to keep confidential all non-public information, including but not limited to business strategies, customer lists, financial information, and technical data, disclosed during the term of this Agreement. This obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

6. Limitation of Liability

To the maximum extent permitted by applicable law, neither Party shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; or (c) unauthorized access, use or alteration of your transmissions or content. In no event shall the aggregate liability of the Agency exceed the total fees paid by the Client to the Agency under this Agreement during the {{liability_period_months}} months preceding the event giving rise to the claim.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country_state_province}}.

8. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.

9. Signatures
