SUBCONTRACT AGREEMENT

This Subcontract Agreement ('Agreement') is made effective as of {{effective_date}}

BETWEEN:

{{main_contractor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{main_contractor_address}} ('Main Contractor'),

AND

{{subcontractor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{subcontractor_address}} ('Subcontractor').

1. RECITALS

WHEREAS, the Main Contractor has entered into a principal contract ('Principal Contract') with {{client_company_name}} ('Client') for the execution of the project known as '{{project_name}}' located at {{project_location}} (the 'Project').

WHEREAS, the Main Contractor desires to subcontract certain parts of the Project work to the Subcontractor, and the Subcontractor is willing and capable of performing such work.

2. SCOPE OF WORK

The Subcontractor shall perform the following work ('Subcontract Work'): {{detailed_scope_of_work}}.

The Subcontract Work shall be completed in accordance with the specifications and drawings attached hereto as Schedule A, and as per the relevant provisions of the Principal Contract, a copy of which has been made available to and reviewed by the Subcontractor.

3. TERM AND COMMENCEMENT

The Subcontractor shall commence the Subcontract Work on or before {{start_date}} and shall complete the Subcontract Work by {{completion_date}}.

Time is of the essence in the performance of the Subcontract Work.

4. COMPENSATION

In consideration for the satisfactory performance of the Subcontract Work, the Main Contractor shall pay the Subcontractor a total sum of {{currency}} {{total_subcontract_amount}} ({{total_subcontract_amount_words}}).

Payment shall be made in installments as follows: {{payment_schedule}}.

All invoices shall be submitted by the Subcontractor to the Main Contractor on or before the {{invoice_due_date_of_month}} of each month and shall be paid within {{payment_terms_days}} days of receipt, provided the work is satisfactorily completed and approved by the Main Contractor.

5. INDEPENDENT CONTRACTOR STATUS

The Subcontractor is an independent contractor and not an employee, partner, or agent of the Main Contractor.

The Subcontractor shall be solely responsible for all taxes, national insurance contributions, and other statutory payments arising from its activities under this Agreement.

6. INSURANCE AND INDEMNITY

The Subcontractor shall maintain, at its own expense, adequate insurance coverage, including but not limited to, Public Liability Insurance for an amount not less than {{currency}} {{public_liability_insurance_amount}} and Workers' Compensation Insurance as required by law.

The Subcontractor shall indemnify and hold harmless the Main Contractor from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in connection with the Subcontract Work.

7. TERMINATION

Either party may terminate this Agreement upon {{notice_period_days}} days' written notice to the other party for a material breach of this Agreement, provided such breach is not remedied within the notice period.

The Main Contractor may terminate this Agreement for convenience upon {{notice_period_termination_for_convenience_days}} days' written notice to the Subcontractor, in which case the Subcontractor shall be compensated for all work performed up to the termination date and reasonable demobilisation costs.

8. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
