User Agreement for Web Hosting Services
This User Agreement ('Agreement') is entered into between {{company_name}} ('Service Provider'), located at {{company_address}}, and {{client_name}} ('Client'), located at {{client_address}}, effective as of {{effective_date}}.
1. Services Provided
The Service Provider agrees to provide web hosting services to the Client, which include, but are not limited to, server space, bandwidth, email accounts, and database access as detailed in the chosen hosting package: {{hosting_package}}. The full specifications of the chosen package are outlined in Appendix A.
2. Term and Termination
This Agreement shall commence on {{start_date}} and shall continue for an initial term of {{initial_term_duration}} (e.g., one year). Thereafter, this Agreement will automatically renew for successive terms of the same duration unless either party provides written notice of non-renewal at least {{notice_period}} days prior to the end of the current term.
Either party may terminate this Agreement immediately upon written notice if the other party breaches any material provision of this Agreement and fails to cure such breach within {{cure_period}} days of receiving written notice thereof.
3. Fees and Payment
The Client agrees to pay the Service Provider the fees for the chosen hosting package as specified in the invoice. All fees are due in advance on a {{billing_cycle}} basis. Payment methods accepted include {{payment_methods}}.
Failure to make timely payments may result in suspension or termination of services. A late payment fee of {{late_fee_percentage}}% per month or the maximum amount permitted by law, whichever is less, may be applied to overdue balances.
4. Client Responsibilities
The Client is solely responsible for the content uploaded to their hosted space and must comply with all applicable local, national, and international laws and regulations. The Client agrees not to use the Service Provider's services for any illegal or unauthorized purpose, including but not limited to, hosting objectionable content, unsolicited email (spam), or infringing on intellectual property rights.
The Client is responsible for maintaining the confidentiality of their account login information, including usernames and passwords.
5. Service Level Agreement (SLA)
The Service Provider guarantees an uptime of {{uptime_percentage}}% for its web hosting services. In the event of a service outage exceeding {{downtime_threshold}} consecutive minutes, the Client may be eligible for service credits as outlined in the Service Provider's SLA policy, available at {{sla_policy_url}}. This guarantee does not apply to scheduled maintenance or events beyond the Service Provider's reasonable control.
6. Limitation of Liability
The Service Provider shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use or inability to use the services, even if the Service Provider has been advised of the possibility of such damages.
In no event shall the Service Provider's total liability to the Client for all damages, losses, and causes of action exceed the total amount paid by the Client to the Service Provider during the {{liability_period}} month period preceding the date the claim arose.
7. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of {{arbitration_body}} in {{arbitration_location}}, or through the courts of {{court_jurisdiction}} if arbitration is not possible.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Service Provider and the Client and supersedes all prior agreements, understandings, and representations, whether oral or written, relating to the subject matter hereof. Any modifications to this Agreement must be in writing and signed by both parties.
