Website Design Agreement

This Website Design Agreement ('Agreement') is made and entered into on this {{date}} by and between:

Client: {{client_name}}, with an address at {{client_address}} ('Client')

and

Designer: {{designer_company_name}}, with an address at {{designer_company_address}} ('Designer')

Collectively referred to as 'Parties'.

1. Scope of Work

The Designer agrees to provide website design and development services to the Client as described in Appendix A (Scope of Work). This includes, but is not limited to, the design, development, and implementation of a website for the Client, based on the specifications and requirements mutually agreed upon.

2. Project Timeline

The Designer will use all reasonable efforts to complete the project within the timeline outlined in Appendix B (Project Timeline). Any delays caused by the Client (e.g., late provision of content, delayed approvals) may extend the project timeline accordingly. The anticipated launch date is {{launch_date}}.

3. Payment Terms

The Client agrees to pay the Designer a total fee of {{total_fee}} ({{currency}}). Payment shall be made in installments as follows:

4. Client Responsibilities

The Client agrees to provide all necessary content (text, images, logos, etc.) in a timely manner. The Client will also provide prompt feedback and approvals at various stages of the design process. Delays in providing content or feedback may impact the project timeline.

5. Intellectual Property

Upon full payment of all fees due under this Agreement, the Client will own the intellectual property rights to the final website design. The Designer retains the right to display the completed website in their portfolio for promotional purposes.

6. Maintenance and Support

Unless otherwise agreed in a separate addendum, this Agreement does not include ongoing website maintenance or support services. Any post-launch maintenance or support will be subject to a separate agreement and fees.

7. Termination

Either Party may terminate this Agreement with {{notice_days}} days written notice if the other Party materially breaches any of its obligations and fails to cure such breach within the notice period. In the event of termination, the Client shall pay the Designer for all work performed up to the termination date.

8. Governing Law
