Acknowledgment of Proprietary Rights and Confidential Information
I, {{employee_name}}, acknowledge and agree that all Proprietary Information (as defined below) that I conceived, developed, or otherwise acquired during my employment with {{company_name}} (the “Company”) remains the sole and exclusive property of the Company.
“Proprietary Information” includes, but is not limited to, trade secrets, confidential knowledge, data, or any other information, regardless of whether it is marked as “confidential” or “proprietary,” relating to the Company’s business, products, services, research, development, finances, operations, strategies, customer lists, vendor lists, pricing information, marketing plans, software, hardware, designs, formulas, processes, and business methods.
Return of Company Property
I confirm that I have returned all Company property, including but not limited to, documents, data, electronic devices (laptops, phones, tablets), keys, access cards, and any other materials containing Proprietary Information, to the Company by {{return_date}}.
Covenant to Protect Confidentiality
I further agree that I will not, directly or indirectly, use, disclose, or disseminate any Proprietary Information at any time, either during or after my employment with the Company, for any reason other than for the benefit of the Company. This obligation of confidentiality shall remain in full force and effect indefinitely.
Non-Solicitation
I agree that for a period of {{non_solicitation_period}} months following my termination of employment, I will not, directly or indirectly, solicit, induce, or encourage any employee, contractor, or officer of the Company to terminate their employment or engagement with the Company, or to accept employment or engagement with any competing business.
Injunctive Relief and Remedies
I understand and agree that any breach of this Acknowledgment may cause irreparable harm to the Company for which monetary damages would be an inadequate remedy. Therefore, in the event of a breach or threatened breach, the Company shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity, without the necessity of proving actual damages or posting a bond.
Governing Law
This Acknowledgment shall be governed by and construed in accordance with the laws of {{country}}.
