Date and Parties

This Separation Agreement (hereinafter referred to as the “Agreement”) is made and entered into by and between:

{{company_name}}, a company duly registered under the laws of [Relevant African Country], with its principal place of business at {{company_address}} (hereinafter referred to as the “Company”);

AND

{{employee_name}}, an adult residing at {{employee_address}} (hereinafter referred to as the “Employee”).

Background

WHEREAS, the Employee has been employed by the Company in the position of {{employee_position}} since {{start_date}};

WHEREAS, the Company and the Employee mutually desire to terminate their employment relationship on the terms and conditions set forth herein, effective {{separation_date}} (the “Effective Date of Separation”).

Separation of Employment

The Employee’s employment with the Company shall terminate voluntarily/involuntarily on the Effective Date of Separation, {{separation_date}}.

The Employee acknowledges and agrees that, as of the Effective Date of Separation, their employment with the Company and all associated benefits and entitlements shall cease, except as explicitly provided for in this Agreement.

The Employee confirms that they have received all earned but unpaid wages, salaries, bonuses, commissions, and other compensation due up to the Effective Date of Separation, except for any severance pay or benefits detailed in this Agreement, which shall be paid on or before {{final_payment_date}}.

Severance Package

In consideration for the Employee’s undertakings and agreements contained herein, and provided that the Employee fully complies with all terms and conditions of this Agreement, the Company agrees to provide the Employee with the following severance package:

a. Severance Payment: A gross severance payment of {{severance_amount}} ({{severance_amount_words}}) to be paid on {{severance_payment_date}}.

b. Accrued Leave: Payment for any accrued but untaken annual leave days totaling {{untaken_leave_days}} days, amounting to {{leave_payout_amount}}.

c. Health Insurance: Continuation of health insurance benefits for a period of {{health_insurance_months}} months from the Effective Date of Separation, subject to the terms and conditions of the Company’s group health plan.

The Employee acknowledges that this severance package is in full and final settlement of any and all claims for wages, severance, or other compensation arising from their employment or separation from the Company, save for those expressly preserved by law.

Release of Claims

In consideration for the Company’s commitments under this Agreement, the Employee, by signing this Agreement, knowingly and voluntarily releases, forever discharges, and covenants not to sue the Company, its past and present officers, directors, employees, agents, shareholders, predecessors, successors, and assigns (collectively, the “Released Parties”), from any and all claims, demands, actions, causes of action, suits, debts, liens, contracts, liabilities, agreements, promises, damages, attorneys’ fees, costs, and expenses of any nature whatsoever, known or unknown, suspected or unsuspected, fixed or contingent, that the Employee ever had, now has, or may have against the Released Parties arising from or relating to the Employee’s employment with the Company or the separation of that employment, up to and including the date of signing this Agreement.

This release includes, but is not limited to, claims for wrongful dismissal, breach of contract (express or implied), discrimination (on the basis of race, color, religion, sex, national origin, age, disability, or any other protected characteristic), harassment, retaliation, defamation, unpaid wages, severance pay (except as provided herein), sick pay, holiday pay, or any claims under [Specify relevant African country labour laws, e.g., the Labour Act, Employment Equity Act, Basic Conditions of Employment Act, etc.], common law, or any other applicable law.

Confidentiality and Non-Disparagement

The Employee agrees to maintain the confidentiality of all confidential and proprietary information of the Company, including but not limited to trade secrets, customer lists, financial data, business strategies, and employee information, both during and after the cessation of employment.

The Employee further agrees not to disparage the Company or any of the Released Parties in any manner, and the Company agrees that through its authorized spokespersons or management, it will not disparage the Employee.

Return of Company Property

The Employee confirms that they have returned all Company property, including but not limited to keys, laptops, mobile phones, documents, data, and any other equipment or materials belonging to the Company, on or before the Effective Date of Separation. Any outstanding Company property must be returned by {{return_property_date}}.

Non-Competition / Non-Solicitation (Optional)

The Employee agrees that for a period of {{non_compete_months}} months immediately following the Effective Date of Separation, they shall not directly or indirectly engage in any business competitive with the business of the Company within the geographical area of {{non_compete_area}}.

The Employee further agrees that for a period of {{non_solicit_months}} months immediately following the Effective Date of Separation, they shall not solicit, divert, or appropriate any of the Company’s customers, clients, or employees.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Relevant African Country].

Full Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties. No modification, alteration, or amendment of this Agreement shall be effective unless in writing and signed by both parties.
