SEPARATION AGREEMENT
This Separation Agreement (hereinafter referred to as 'the Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{company_name}} (hereinafter referred to as 'the Company'), a company duly incorporated and registered in accordance with the laws of {{country}}, with its principal place of business at {{company_address}}.
AND
{{employee_name}} (hereinafter referred to as 'the Employee'), an adult male/female residing at {{employee_address}}, holding National Identity Number {{employee_id_number}}.
RECITALS
WHEREAS, the Employee has been employed by the Company in the position of {{position}} since {{start_date}}.
WHEREAS, both the Company and the Employee mutually desire to terminate their employment relationship on the terms and conditions set forth in this Agreement.
WHEREAS, both parties acknowledge that this Agreement is entered into freely, voluntarily, and without any duress or undue influence.
TERMS OF SEPARATION
1. **Last Day of Employment**: The Employee's last day of employment with the Company shall be {{last_day_of_employment}} (hereinafter referred to as 'the Separation Date').
2. **Final Remuneration**: The Company shall pay the Employee all outstanding salary, pro-rata leave pay, and any other accrued benefits up to the Separation Date. This final payment will be made on or before {{final_payment_date}}.
3. **Severance Pay**: In full and final settlement of all claims arising out of or in connection with the Employee's employment and separation, the Company agrees to pay the Employee a severance amount of {{severance_amount_words}} ({{severance_amount_figures}}) on or before {{severance_payment_date}}.
4. **Return of Company Property**: On or before the Separation Date, the Employee shall return all Company property, including but not limited to, laptops, mobile phones, keys, access cards, and confidential documents.
5. **Confidentiality**: The Employee agrees to maintain the confidentiality of all Company proprietary, confidential, and trade secret information acquired during the course of employment. This obligation shall survive the termination of employment indefinitely.
6. **Non-Disparagement**: Both parties agree not to make any disparaging remarks or comments about the other party, their respective directors, employees, products, or services to any third party.
7. **Release of Claims**: The Employee, on behalf of themselves and their heirs, executors, administrators, and assigns, hereby fully and forever releases and discharges the Company, its directors, officers, employees, agents, and successors from any and all claims, demands, damages, and causes of action of any kind whatsoever, whether known or unknown, arising out of or related to their employment or separation from employment.
ACKNOWLEDGEMENT
The Employee acknowledges that they have been advised to seek independent legal advice regarding the terms and implications of this Agreement, and have either done so or have elected not to do so.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
