Adhesion to the Unanimous Shareholder Agreement

RECITALS

A. The Company and the Existing Shareholders previously entered into a Unanimous Shareholder Agreement (hereinafter referred to as the "USA") on {{date_of_usa}}.

B. The New Shareholder has acquired {{number_of_shares}} ordinary shares of the Company (hereinafter referred to as the "Shares").

C. As a condition of acquiring the Shares, the New Shareholder is required to become a party to and be bound by the terms and conditions of the USA.

ADHERENCE TO USA

1. The New Shareholder hereby acknowledges receipt of a copy of the USA and has reviewed and understood its terms.

2. The New Shareholder hereby agrees to be bound by all the terms and conditions of the USA, as if the New Shareholder were an original signatory thereto, and agrees to perform all obligations and duties imposed on shareholders under the USA, and to be subject to all rights and restrictions set forth therein.

3. The New Shareholder hereby irrevocably authorizes the Corporate Secretary or any director of the Company to amend the USA to include the New Shareholder as a party thereto.

REPRESENTATIONS AND WARRANTIES OF NEW SHAREHOLDER

1. The New Shareholder represents and warrants that they have full power and authority to enter into this Adhesion to the Unanimous Shareholder Agreement.

2. The New Shareholder acknowledges that they have been advised to obtain independent legal advice prior to signing this document.

GOVERNING LAW

This Adhesion to the Unanimous Shareholder Agreement shall be governed by and construed in accordance with the laws of {{country}}.

COUNTERPARTS

This Adhesion to the Unanimous Shareholder Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
