AGREEMENT TO RESCIND CONTRACT OF SALE

This Agreement to Rescind Contract of Sale ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

**Seller:** {{seller_name}}, residing at {{seller_address}} (hereinafter referred to as "Seller").

AND

**Buyer:** {{buyer_name}}, residing at {{buyer_address}} (hereinafter referred to as "Buyer").

collectively referred to as "Parties."

RECITALS

WHEREAS, the Parties previously entered into a Contract of Sale dated {{original_contract_date}} for the sale and purchase of {{item_description}} (hereinafter referred to as "Original Contract").

WHEREAS, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties mutually desire to rescind and terminate the Original Contract.

RESCISSION OF ORIGINAL CONTRACT

The Parties hereby agree that the Original Contract, dated {{original_contract_date}}, for the sale and purchase of {{item_description}}, is hereby rescinded, cancelled, and declared null and void, and shall be of no further force or effect from the date of this Agreement.

RELEASE AND DISCHARGE

Both Parties hereby mutually release and forever discharge the other from any and all claims, demands, actions, causes of action, obligations, liabilities, costs, and expenses of any kind or nature whatsoever, whether known or unknown, arising from or in connection with the Original Contract, including but not limited to, any claims for breach of contract, specific performance, or damages.

RETURN OF CONSIDERATION

Upon the execution of this Agreement, the following actions regarding the consideration exchanged under the Original Contract shall be completed:

a. The Seller shall return to the Buyer the sum of {{amount}} ({{currency}}) paid as a deposit/purchase price by the Buyer within {{number_of_days}} days of the effective date of this Agreement.

b. The Buyer shall return to the Seller {{item_to_be_returned_by_buyer}}, if applicable, within {{number_of_days}} days of the effective date of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, between the Parties relating to the rescission of the Original Contract.

COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
