ASSIGNMENT AND TRANSFER OF STOCK CERTIFICATE

Representations and Warranties of Transferor

1. The Transferor is the sole legal and beneficial owner of the shares, free and clear of all liens, encumbrances, and adverse claims.

2. The Transferor has the full legal right, power, and authority to assign and transfer the shares to the Transferee.

3. The shares are validly issued, fully paid, and non-assessable.

Representations and Warranties of Transferee

The Transferee hereby represents and warrants to the Transferor that:

1. The Transferee has the full legal right, power, and authority to acquire and hold the shares.

2. The Transferee acknowledges receipt of the original Stock Certificate No. {{stock_certificate_number}}.

Indemnification

The Transferor agrees to indemnify and hold harmless the Transferee from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or relating to any breach by the Transferor of any of its representations, warranties, or covenants contained in this Assignment.

Governing Law

Entire Agreement
