Assignment of Contributor Rights Agreement

This Assignment of Contributor Rights Agreement (“Agreement”) is made and entered into as of {{date_of_agreement}} (the “Effective Date”), by and between:

1. {{company_name}}, a company duly incorporated under the laws of {{jurisdiction_company_incorporated}}, with its registered office at {{company_address}} (hereinafter referred to as the “Company”); and

2. {{contributor_name}}, an individual residing at {{contributor_address}}, with identification number {{contributor_ID_number}} (hereinafter referred to as the “Contributor”).

Background

A. The Contributor has been engaged by the Company to provide services related to {{description_of_services}} (the “Services”), during which the Contributor may create, develop, or contribute to certain intellectual property, inventions, works, or materials.

B. The Company desires to obtain, and the Contributor desires to assign, all rights, title, and interest in and to such intellectual property, in accordance with the terms and conditions hereinafter set forth.

Assignment of Rights

1.1. In consideration of the Contributor’s engagement by the Company and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Contributor does hereby irrevocably assign, transfer, and convey to the Company, its successors, and assigns, all of the Contributor’s right, title, and interest throughout the world in and to all intellectual property, inventions, improvements, discoveries, designs, works of authorship, Mask Works, data, know-how, computer programs, processes, and other materials (whether or not patentable, copyrightable, or registrable under other intellectual property laws, and whether or not reduced to practice), that the Contributor has conceived, developed, or reduced to practice, either alone or jointly with others, during the term of the Contributor’s engagement with the Company and within the scope of the Services (collectively, the “Assigned IP”).

1.2. This assignment includes, without limitation, all copyrights, patent rights, trade secret rights, trademark rights, moral rights, and all other intellectual and industrial property rights, and all applications and registrations for such rights, in and to the Assigned IP.

1.3. The Contributor acknowledges that the Assigned IP shall be deemed “works made for hire” to the extent permitted by law. To the extent that the Assigned IP is not deemed a “work made for hire”, the Contributor hereby assigns all rights, title, and interest in and to such Assigned IP to the Company.

Further Assurances

2.1. The Contributor agrees to execute and deliver all such further documents, instruments, and assignments, and to take all such further actions as may be necessary or desirable to perfect, confirm, or record the Company’s ownership of the Assigned IP.

2.2. The Contributor hereby irrevocably designates and appoints the Company as the Contributor’s agent and attorney-in-fact, to act for and in the Contributor’s behalf and stead, and to execute and file any documents and to do all other lawfully permitted acts to further the prosecution, issuance, and enforcement of any Assigned IP with the same legal force and effect as if executed by the Contributor. This power of attorney is coupled with an interest and is irrevocable.

Representations and Warranties of Contributor

3.1. The Contributor represents and warrants that:

a) The Contributor is the sole owner of all right, title, and interest in and to the Assigned IP, free and clear of any liens, encumbrances, or claims of third parties.

b) The Contributor has the full right and authority to enter into this Agreement and to make the assignment contemplated herein.

c) The Assigned IP does not infringe upon or misappropriate the intellectual property rights of any third party.

d) The Contributor has not previously assigned, transferred, or encumbered any rights in the Assigned IP to any other person or entity.

Confidentiality

4.1. The Contributor agrees to keep confidential and not to disclose or use, either during or after the term of engagement, any confidential or proprietary information of the Company, including but not limited to trade secrets, business plans, financial information, customer lists, and information related to the Assigned IP.

Governing Law and Jurisdiction

5.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

5.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{dispute_resolution_jurisdiction}}.

Entire Agreement

6.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

6.2. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
