Assignment of Copyright Agreement

This ASSIGNMENT OF COPYRIGHT AGREEMENT (hereinafter referred to as the "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date"), by and between:

AND

{{Assignee_Legal_Name}}, an individual/company with registration number {{Assignee_Registration_Number}} (if applicable), residing at/with its principal place of business at {{Assignee_Address}} (hereinafter referred to as the "Assignee").

Recitals

WHEREAS, the Assignor is the sole and exclusive owner of the copyright in and to the work described in Schedule A attached hereto (the "Work");

WHEREAS, the Assignor desires to assign all of its rights, title, and interest in and to the copyright in the Work to the Assignee; and

WHEREAS, the Assignee desires to acquire all such rights, title, and interest from the Assignor.

Assignment

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby assigns, transfers, and conveys to the Assignee, absolutely and forever, all of its rights, title, and interest in and to the copyright in the Work, throughout the world, including, without limitation, all rights of reproduction, distribution, public performance, public display, adaptation, and any and all other rights analogous thereto now known or hereafter created, for the full term of copyright and any renewals or extensions thereof.

Representations and Warranties of Assignor

The Assignor hereby represents and warrants to the Assignee that:

a) The Assignor is the sole and exclusive owner of the copyright in the Work and has the full right, power, and authority to enter into this Agreement and to make the assignment contemplated hereby.

b) The Work is original and does not infringe upon the intellectual property rights of any third party.

c) The Assignor has not previously assigned, licensed, or otherwise encumbered any of its rights in the Work in a manner that would conflict with this Agreement.

d) There are no claims, litigation, or proceedings pending or threatened against the Assignor that would adversely affect the Assignee's rights in the Work.

Indemnification

The Assignor shall indemnify, defend, and hold harmless the Assignee from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Assignor's representations and warranties set forth in this Agreement.

Further Assurances

The Assignor agrees to execute and deliver any and all further documents and instruments, and to take all further actions, as may be reasonably requested by the Assignee to perfect or confirm the assignment of copyright contemplated by this Agreement.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of {{Governing_Jurisdiction_Country}}, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{Governing_Jurisdiction_City}}, {{Governing_Jurisdiction_Country}}.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
