BUSINESS PARTNERSHIP AGREEMENT
This Business Partnership Agreement (the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}} (the “Effective Date”), by and between:
Party A: {{party_a_company_name}}, a company duly registered under the laws of {{party_a_jurisdiction}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as “Partner A”).
AND
Party B: {{party_b_company_name}}, a company duly registered under the laws of {{party_b_jurisdiction}}, with its principal place of business at {{party_b_address}} (hereinafter referred to as “Partner B”).
(Collectively referred to as “the Parties” and individually as “a Party”).
1. PURPOSE OF AGREEMENT
The Parties hereby agree to form a business partnership for the purpose of jointly developing, marketing, and maintaining custom software solutions (hereinafter referred to as “the Project”). The specific details of each project will be outlined in separate Project Annexures, which shall form an integral part of this Agreement.
2. CAPITAL CONTRIBUTIONS AND EQUITY
2.1. Partner A shall contribute capital in the amount of {{partner_a_monetary_contribution}} ({{partner_a_monetary_contribution_words}}), and/or non-monetary contributions such as {{partner_a_non_monetary_contribution_description}} with an agreed valuation of {{partner_a_non_monetary_valuation}}.
2.2. Partner B shall contribute capital in the amount of {{partner_b_monetary_contribution}} ({{partner_b_monetary_contribution_words}}), and/or non-monetary contributions such as {{partner_b_non_monetary_contribution_description}} with an agreed valuation of {{partner_b_non_monetary_valuation}}.
2.3. The equity distribution between the Parties shall be {{partner_a_equity_percentage}}% for Partner A and {{partner_b_equity_percentage}}% for Partner B. This equity split is based on the initial contributions and ongoing responsibilities as detailed in this Agreement.
2.4. Any further capital contributions or adjustments to equity will be made by mutual written agreement of both Parties.
3. ROLES AND RESPONSIBILITIES
3.1. Partner A will be responsible for {{partner_a_responsibilities}}.
3.2. Partner B will be responsible for {{partner_b_responsibilities}}.
3.3. Specific project roles and responsibilities will be further defined in individual Project Annexures.
4. PROFIT AND LOSS DISTRIBUTION
4.1. Net profits and losses arising from the Project shall be distributed between the Parties in proportion to their equity contributions, unless otherwise agreed upon in writing for a specific project.
4.2. Distributions of profits will occur {{distribution_frequency}} (e.g., quarterly, annually), subject to the business needs and available cash flow, as determined by mutual agreement.
5. DECISION-MAKING
5.1. All major business decisions regarding the Project, including but not limited to strategic planning, significant financial expenditures exceeding {{major_expenditure_threshold}}, and changes to project scope, shall require the unanimous written consent of all Parties.
5.2. Day-to-day operational decisions may be made by the assigned project lead as defined in the Project Annexures, provided they do not contravene the terms of this Agreement.
6. INTELLECTUAL PROPERTY
6.1. All intellectual property rights, including copyrights, patents, trademarks, and trade secrets, developed during the course of the Project, shall be jointly owned by the Parties in proportion to their equity shares, unless otherwise specified in a Project Annexure.
6.2. The Parties agree to execute any and all documents necessary to perfect and protect such intellectual property rights.
7. CONFIDENTIALITY
7.1. Each Party agrees to keep confidential all non-public information, trade secrets, and proprietary information disclosed by the other Party during the course of this partnership, both during the term of this Agreement and for a period of {{confidentiality_period_years}} years thereafter.
7.2. This obligation of confidentiality shall not apply to information that is publicly known, independently developed, or required to be disclosed by law.
8. TERM AND TERMINATION
8.1. This Agreement shall commence on the Effective Date and shall continue until terminated by either Party in accordance with the provisions herein.
8.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.
8.3. This Agreement may also be terminated immediately by either Party upon a material breach of any terms by the other Party, provided that the breaching Party fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.
9. GOVERNING LAW AND DISPUTE RESOLUTION
9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}, without regard to its conflict of law principles.
9.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall first be subjected to mediation in {{mediation_location}}. If mediation is unsuccessful, the dispute shall be resolved by arbitration in accordance with the rules of {{arbitration_institution}} in {{arbitration_location}}.
10. SIGNATURES
IN WITNESS WHEREOF, the Parties hereto have executed this Business Partnership Agreement as of the Effective Date.
