Industrial Design Assignment Agreement
RECITALS
A. The Assignor is the sole and exclusive owner of all rights, title, and interest in and to the industrial design specified in Schedule A (the "Industrial Design").
B. The Assignee desires to acquire all rights, title, and interest in and to the Industrial Design from the Assignor.
C. The Assignor is willing to assign the Industrial Design to the Assignee on the terms and conditions set forth in this Agreement.
1. ASSIGNMENT OF INDUSTRIAL DESIGN
1.1. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby assigns, transfers, and conveys to the Assignee, its successors and assigns, all rights, title, and interest in and to the Industrial Design, including all rights to register, use, exploit, reproduce, and commercialize the Industrial Design worldwide, for the full term of its protection.
1.2. This assignment includes, without limitation, all rights to any and all applications, registrations, renewals, reissues, and extensions of the Industrial Design in all countries.
2. CONSIDERATION
2.1. In consideration for the assignment of the Industrial Design, the Assignee shall pay the Assignor the sum of {{amount}} ({{currency}}) on the effective date of this Agreement.
2.2. The Assignor acknowledges that this payment constitutes full and final consideration for the assignment and that no further royalties or payments are due from the Assignee.
3. REPRESENTATIONS AND WARRANTIES OF ASSIGNOR
3.1. The Assignor represents and warrants that:
(a) The Assignor is the sole and exclusive owner of the Industrial Design and has the full right, power, and authority to assign the Industrial Design to the Assignee.
(b) The Industrial Design is free and clear of all liens, encumbrances, and adverse claims.
(c) The Industrial Design does not infringe upon the intellectual property rights of any third party.
(d) The Assignor has not previously assigned, licensed, or otherwise encumbered the Industrial Design.
4. COVENANTS OF ASSIGNOR
4.1. The Assignor covenants and agrees to:
(a) Execute and deliver any and all further documents, instruments, and applications, and to do all such other acts as may be necessary or desirable to vest in the Assignee all right, title, and interest in and to the Industrial Design.
(b) Assist the Assignee, at the Assignee's expense, in the prosecution of any applications for registration of the Industrial Design and in the enforcement of the Assignee's rights in the Industrial Design.
(c) Not to contest the validity or ownership of the Industrial Design by the Assignee.
5. INDEMNIFICATION
5.1. The Assignor shall indemnify, defend, and hold harmless the Assignee from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the Assignor's representations, warranties, or covenants under this Agreement.
6. GOVERNING LAW AND DISPUTE RESOLUTION
6.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
6.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of {{arbitration_body}}.
7. ENTIRE AGREEMENT
7.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
