INVENTION AGREEMENT
This Invention Agreement ("Agreement") is made effective as of {{effective_date}} (the "Effective Date"), by and between {{company_name}}, a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business located at {{company_address}} ("Company"), and {{employee_name}}, an individual residing at {{employee_address}} ("Employee").
1. Purpose
This Agreement sets forth the terms and conditions governing the ownership and assignment of intellectual property rights in inventions developed by the Employee during their employment with the Company.
2. Disclosure of Inventions
The Employee agrees to promptly disclose in writing to the Company all inventions, discoveries, designs, developments, improvements, artistic works, and formulae (whether patentable or not, and whether conceived or made solely or jointly with others) that are made, conceived, reduced to practice, or learned by the Employee, either alone or with others, during the period of employment, that either relates to the Company's actual or anticipated business, research, or development, or results from any work performed by the Employee for the Company.
3. Assignment of Inventions
The Employee hereby assigns and transfers to the Company, its successors, and assigns, free of any charge or encumbrance, all right, title, and interest in and to all such inventions made, conceived, reduced to practice, or learned by the Employee during the period of employment, as described in Section 2 above. This assignment includes, without limitation, all intellectual property rights, including patents, copyrights, trade secrets, trademarks, and mask work rights, throughout the world.
4. Further Assurances
The Employee agrees to assist the Company, at the Company's expense, in every proper way to obtain and enforce patents, copyrights, and other intellectual property rights covering such inventions in any and all countries. Such assistance shall include, but is not limited to, signing all necessary applications, assignments, and other instruments requested by the Company to protect its rights in such inventions.
5. Confidentiality
The Employee acknowledges and agrees that all inventions, as defined herein, and all information related to the Company's business, including but not limited to trade secrets, proprietary information, customer lists, and financial data, are confidential and proprietary to the Company. The Employee agrees to keep such information strictly confidential and not to disclose it to any third party or use it for any purpose other than for the benefit of the Company, both during and after the term of employment.
6. Prior Inventions
The Employee has attached hereto as Exhibit A a complete list of all inventions, if any, that the Employee made, conceived, reduced to practice, or acquired prior to the commencement of employment with the Company and which the Employee desires to exclude from the scope of this Agreement (collectively, "Prior Inventions"). The Employee represents and warrants that the use of any Prior Inventions in the performance of services for the Company will not infringe upon the intellectual property rights of any third party.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}, without regard to its conflict of laws principles.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Company and the Employee with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, between the parties.
