PROXY AGREEMENT

This Proxy Agreement (the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. APPOINTMENT OF PROXY

The Principal hereby irrevocably appoints the Proxy to be their true and lawful attorney and agent, with full power of substitution, to attend, act, speak, and vote on behalf of the Principal at the {{meeting_type}} meeting of {{company_name}} (the “Company”) to be held on {{meeting_date}} at {{meeting_time}} at {{meeting_location}}, and at any adjournment or postponement thereof.

2. SCOPE OF AUTHORITY

The Proxy is authorised to exercise all voting rights related to the Principal’s shares, being {{number_of_shares}} ordinary shares in the Company, in accordance with the following instructions:

4. REVOCATION
