SHARE DONATION AGREEMENT

This Share Donation Agreement ('Agreement') is made and entered into on this {{date_of_agreement}}

BETWEEN:

{{donor_name}}, with identity number {{donor_id_number}} (or company registration number {{donor_registration_number}}), with registered address at {{donor_address}} (hereinafter referred to as 'the Donor');

AND

{{donee_name}}, with identity number {{donee_id_number}} (or company registration number {{donee_registration_number}}), with registered address at {{donee_address}} (hereinafter referred to as 'the Donee').

Collectively referred to as 'the Parties'.

1. DONATION OF SHARES

1.1. The Donor hereby irrevocably and unconditionally donates, transfers, and assigns to the Donee, and the Donee hereby accepts, {{number_of_shares}} ({{number_of_shares_words}}) ordinary shares (hereinafter referred to as 'the Donated Shares') in {{company_name_of_shares}}, registration number {{company_registration_number_of_shares}} (hereinafter referred to as 'the Company'), representing {{percentage_of_shares}}% of the total issued share capital of the Company.

1.2. The Donated Shares are fully paid up and free from all encumbrances, liens, charges, and other third-party rights.

1.3. The Donor warrants that they are the legal and beneficial owner of the Donated Shares and has the full right, power, and authority to donate and transfer the Donated Shares to the Donee.

2. EFFECTIVE DATE OF DONATION

2.1. The effective date of this donation shall be {{effective_date_of_donation}} ('Effective Date').

2.2. All rights, title, and interest in and to the Donated Shares shall pass to the Donee on the Effective Date.

3. DELIVERY OF SHARE CERTIFICATES AND DOCUMENTS

3.1. The Donor shall, within {{number_of_days}} ({{number_of_days_words}}) business days of the Effective Date, deliver to the Donee the share certificate(s) representing the Donated Shares, duly endorsed for transfer, or such other documents as may be necessary to effect the registration of the Donee as the registered owner of the Donated Shares in the share register of the Company.

3.2. The Donor shall sign all such instruments, transfer forms, and other documents, and do all such further acts and things as may be necessary to give full effect to the terms of this Agreement.

4. WARRANTIES AND REPRESENTATIONS OF THE DONOR

4.1. The Donor represents and warrants that:

(a) The Donated Shares are validly issued, fully paid, and non-assessable.

(b) The Donor has not received and will not receive any consideration (monetary or otherwise) for the donation of the Donated Shares.

(c) The Donor is not subject to any agreement, order, judgment, or decree that would prevent the execution or performance of this Agreement.

5. INDEMNITY

5.1. The Donee hereby indemnifies and holds harmless the Donor from and against any and all claims, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the Donee's ownership and future dealings with the Donated Shares after the Effective Date.

6. GOVERNING LAW AND JURISDICTION

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

6.2. The Parties hereby irrevocably submit to the exclusive jurisdiction of the courts of {{country}} for the purpose of settling any dispute arising out of or in connection with this Agreement.

7. ENTIRE AGREEMENT

7.1. This Agreement constitutes the entire agreement between the Parties with regard to the subject matter hereof and supersedes all prior agreements, understandings, and representations, whether oral or written, between the Parties.

8. AMENDMENT

8.1. No amendment, modification, or variation of this Agreement shall be valid unless reduced to writing and signed by or on behalf of both Parties.
