Teaming Agreement
This Teaming Agreement ("Agreement") is made and entered into effective as of {{effective_date}} ("Effective Date") by and between:
{{party_a_name}}, a company duly incorporated under the laws of {{party_a_jurisdiction}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as "Party A"); and
{{party_b_name}}, a company duly incorporated under the laws of {{party_b_jurisdiction}}, with its principal place of business at {{party_b_address}} (hereinafter referred to as "Party B").
(Each a "Party" and collectively, the "Parties").
1. Purpose of Agreement
The Parties intend to collaborate and jointly pursue the {{project_name}} project (hereinafter referred to as "the Project") which involves {{project_description}}. This Agreement defines the terms and conditions under which the Parties will operate as a team to achieve the stated objectives of the Project.
2. Scope of Work and Responsibilities
2.1. Party A shall be responsible for: {{party_a_responsibilities}}
2.2. Party B shall be responsible for: {{party_b_responsibilities}}
2.3. Joint Responsibilities: {{joint_responsibilities}}
3. Term and Termination
3.1. This Agreement shall commence on the Effective Date and shall continue until the earlier of: (a) the successful completion of the Project, (b) the award or non-award of the Project to the Parties, or (c) {{termination_date}}.
3.2. Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement by the other Party, provided such breach is not remedied within the notice period.
4. Financial Arrangements and Profit Sharing
4.1. The Parties agree to share all profits and losses arising from the Project in the following percentages:

- Party B: {{party_b_profit_share}}%
4.2. Each Party shall bear its own costs and expenses incurred in connection with its responsibilities under this Agreement, unless otherwise mutually agreed in writing.
4.3. All revenues generated from the Project shall be deposited into a joint bank account, or disbursed as follows: {{disbursement_method}}.
5. Confidentiality
5.1. Both Parties agree to treat as confidential all information disclosed by the other Party in connection with the Project, including but not limited to business plans, financial data, technical information, and client lists.
5.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
6. Intellectual Property
6.1. All intellectual property developed jointly by the Parties during the course of the Project shall be jointly owned by the Parties in proportion to their contribution, or as otherwise agreed in writing.
6.2. Pre-existing intellectual property of each Party shall remain the sole property of that Party.
7. Governing Law and Dispute Resolution
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
7.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of {{arbitration_body}}.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof. No amendment or modification of this Agreement shall be valid unless in writing and signed by duly authorized representatives of both Parties.
