TRADEMARK ASSIGNMENT SHORT FORM

This TRADEMARK ASSIGNMENT SHORT FORM (the “Agreement”) is made and entered into as of {{effective_date}} (the “Effective Date”), by and between:

**Assignor:**

{{assignor_company_name}}, a company duly incorporated and existing under the laws of {{assignor_country}}, with its principal place of business at {{assignor_address}} (hereinafter referred to as “Assignor”).

**Assignee:**

{{assignee_company_name}}, a company duly incorporated and existing under the laws of {{assignee_country}}, with its principal place of business at {{assignee_address}} (hereinafter referred to as “Assignee”).

BACKGROUND

A. Assignor is the sole and exclusive owner of all rights, title, and interest in and to the trademark identified below (the “Trademark”).

B. Assignee desires to acquire from Assignor, and Assignor desires to assign to Assignee, all rights, title, and interest in and to the Trademark.

C. The parties hereto desire to execute this Agreement to memorialize the assignment of the Trademark.

ASSIGNMENT

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby irrevocably assigns, transfers, and conveys to Assignee, its successors and assigns, all of Assignor’s right, title, and interest in and to the Trademark, together with the goodwill of the business symbolized by the Trademark, and all registrations and applications for registration thereof, including without limitation, Trademark Application/Registration No. {{trademark_registration_number}} for {{trademark_description}} (the “Assigned Trademark”).

CONSIDERATION

In consideration for the assignment of the Trademark, Assignee shall pay to Assignor the sum of {{assignment_amount}} ({{currency}}) on or before {{payment_due_date}}.

REPRESENTATIONS AND WARRANTIES OF ASSIGNOR

Assignor represents and warrants to Assignee that:

a) Assignor is the lawful owner of all right, title, and interest in and to the Trademark.

b) Assignor has the full power and authority to enter into this Agreement and to make the assignment contemplated herein.

c) The Trademark is not subject to any liens, encumbrances, or adverse claims.

d) Assignor has not granted any licenses or other rights to the Trademark that would conflict with the rights granted to Assignee hereunder.

FURTHER ASSURANCES

Assignor agrees to execute and deliver any and all further documents and instruments, and to do all such acts as may be reasonably necessary to vest in Assignee all right, title, and interest in and to the Trademark and to perfect the assignment contemplated hereby.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
