AGREEMENT FOR ASSIGNMENT OF LEASE

This Agreement for Assignment of Lease (the “Agreement”) is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:

Original Lessee (hereinafter referred to as “Assignor”): {{assignor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{assignor_address}}.

New Lessee (hereinafter referred to as “Assignee”): {{assignee_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{assignee_address}}.

And with the consent of:

Lessor: {{lessor_company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{lessor_address}}.

RECITALS

WHEREAS, the Assignor is the current lessee under a Lease Agreement (the “Original Lease”) dated {{original_lease_date}}, with the Lessor, concerning the property located at {{property_address}} (the “Demised Premises”). A copy of the Original Lease is attached hereto as Schedule A.

WHEREAS, the Assignor desires to assign all its rights, title, and interest as lessee in and to the Original Lease to the Assignee.

WHEREAS, the Assignee desires to accept such assignment and assume all obligations of the lessee under the Original Lease.

WHEREAS, the Original Lease requires the prior written consent of the Lessor for any assignment or transfer thereof.

ASSIGNMENT

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby assigns, transfers, and sets over unto the Assignee all of the Assignor’s right, title, and interest in and to the Original Lease, including all security deposits, prepaid rents, and other benefits thereunder, effective as of {{effective_date}} (the “Effective Date”).

ASSUMPTION BY ASSIGNEE

The Assignee hereby accepts the assignment of the Original Lease and assumes and agrees to perform all of the terms, covenants, conditions, and obligations of the lessee under the Original Lease, from and after the Effective Date, with the same force and effect as if the Assignee had been the original lessee thereunder.

CONSENT OF LESSOR

The Lessor hereby consents to the assignment of the Original Lease by the Assignor to the Assignee, subject to the terms and conditions set forth herein. The Lessor acknowledges and agrees that with effect from the Effective Date, the Assignee shall be deemed the lessee under the Original Lease, and the Lessor shall look to the Assignee for the performance of all obligations arising from the Original Lease.

This consent shall not be deemed a waiver of any future requirements for Lessor’s consent for any subsequent assignment or subletting of the Demised Premises.

INDEMNIFICATION

The Assignor agrees to indemnify and hold harmless the Assignee from any and all claims, liabilities, losses, damages, or expenses arising from the Original Lease prior to the Effective Date.

The Assignee agrees to indemnify and hold harmless the Assignor from any and all claims, liabilities, losses, damages, or expenses arising from the Original Lease from and after the Effective Date.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of {{jurisdiction}}.

ENTIRE AGREEMENT

This Agreement, including the attached Schedule A, constitutes the entire agreement between the parties concerning the assignment of the Original Lease and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
