BRANCH MANAGEMENT AGREEMENT
This Branch Management Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}},
BETWEEN:
{{head_office_company_name}}, a company duly incorporated under the laws of [Jurisdiction, e.g., South Africa] with company registration number {{head_office_registration_number}}, and having its registered office at {{head_office_address}} (hereinafter referred to as the "Head Office");
AND
{{branch_company_name}}, a branch to be established in [Jurisdiction, e.g., Kenya] (hereinafter referred to as the "Branch").
The Head Office and the Branch are hereinafter collectively referred to as the "Parties" and individually as a "Party".
1. ESTABLISHMENT AND SCOPE OF THE BRANCH
1.1. The Head Office hereby agrees to establish a branch office at {{branch_address}} for the purpose of {{branch_primary_activities}}.
1.2. The Branch shall operate under the direct control and supervision of the Head Office and shall not enter into any agreements or obligations that are not expressly authorized by the Head Office.
1.3. The scope of operations of the Branch shall be limited to {{detailed_scope_of_operations}}.
2. MANAGEMENT AND STAFFING
2.1. The Head Office shall appoint a Branch Manager, {{branch_manager_name}}, who shall be responsible for the day-to-day operations of the Branch. The Branch Manager shall report directly to {{reporting_manager_at_head_office}} at the Head Office.
2.2. The Branch Manager's duties shall include, but not be limited to, {{branch_manager_duties}}.
2.3. The Branch shall employ staff as necessary for its operations, approved by the Head Office. All staff shall be employees of the Head Office and deployed to the Branch, or directly employed by the Branch with Head Office approval.
3. FINANCIAL ARRANGEMENTS
3.1. The Head Office shall provide initial capital of {{initial_capital_amount}} {{currency}} to the Branch to cover start-up costs and initial operating expenses.
3.2. All revenues generated by the Branch shall be accounted for and remitted to the Head Office monthly, by the {{remittance_day}} day of each month.
3.3. The Head Office shall provide funding for the Branch's operational expenses as per an agreed budget, which shall be reviewed and approved quarterly.
3.4. The Branch shall maintain separate financial records and accounts, which shall be subject to audit by the Head Office's auditors annually.
4. REPORTING AND COMMUNICATION
4.1. The Branch Manager shall submit weekly operational reports and monthly financial reports to the Head Office.
4.2. Regular communication channels, including {{communication_channels}}, shall be maintained between the Head Office and the Branch to ensure effective oversight and coordination.
5. DURATION AND TERMINATION
5.1. This Agreement shall commence on the date first written above and shall continue for an initial period of {{initial_agreement_period}} unless terminated earlier in accordance with the provisions herein.
5.2. Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party in the event of a material breach of this Agreement.
5.3. Upon termination, the Branch shall cease all operations, and all assets and liabilities shall be transferred to the Head Office.
6. GOVERNING LAW AND DISPUTE RESOLUTION
6.1. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction, e.g., South Africa].
6.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the rules of the [Arbitration Institution, e.g., Arbitration Foundation of Southern Africa] currently in force.
7. CONFIDENTIALITY
7.1. All information exchanged between the Head Office and the Branch, including but not limited to business strategies, financial data, and customer lists, shall be considered confidential and shall not be disclosed to any third party without the express written consent of the originating Party.
7.2. This obligation of confidentiality shall survive the termination of this Agreement.
8. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
