Brokerage Agreement

This Brokerage Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{client_name}}, residing at {{client_address}} (hereinafter referred to as 'Client'),

AND

{{broker_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{broker_address}} (hereinafter referred to as 'Broker').

Client and Broker are hereinafter collectively referred to as the 'Parties' and individually as 'Party'.

Recitals

WHEREAS, the Client desires to engage the services of the Broker to {{description_of_service}} (hereinafter referred to as 'the Transaction'); and

WHEREAS, the Broker is engaged in providing brokerage services and has the necessary expertise, resources, and licenses to assist the Client with the Transaction.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the Parties agree as follows:

Engagement of Broker

The Client hereby engages the Broker, and the Broker hereby accepts such engagement, to act as the exclusive/non-exclusive broker for the purpose of the Transaction.

The scope of the Broker's services shall include, but not be limited to: {{list_of_broker_duties_and_responsibilities}}.

Term of Agreement

This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of {{term_length}} (e.g., months, years) ('Term'), unless terminated earlier in accordance with the provisions of this Agreement.

This Agreement may be renewed upon mutual written agreement of both Parties.

Broker's Commission/Fees

In consideration for the services rendered by the Broker, the Client agrees to pay the Broker a commission/fee calculated as {{commission_percentage}}% of the {{transaction_value_type}} (e.g., final sale price, total transaction value) or a fixed fee of {{currency}}{{fixed_fee_amount}}.

The commission/fee shall be due and payable by the Client to the Broker upon {{event_trigger_for_payment}} (e.g., successful completion of the transaction, signing of the definitive agreement).

Any expenses incurred by the Broker in performing its services under this Agreement will be reimbursed by the Client upon presentation of valid receipts, provided such expenses are pre-approved in writing by the Client.

Client's Obligations

The Client agrees to provide the Broker with all necessary information, documents, and access required to perform the services.

The Client warrants that all information provided to the Broker is accurate and complete.

Confidentiality

Both Parties agree to keep confidential all non-public information received from the other Party during the Term of this Agreement.

This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}}.

Indemnification

The Client agrees to indemnify, defend, and hold harmless the Broker from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or in connection with any breach by the Client of its obligations under this Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{applicable_country_law}}.

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of the {{arbitration_institution}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations, whether written or oral, relating to such subject matter.
