AGREEMENT FOR CONDITIONAL SALE

THIS AGREEMENT is made and entered into on this {{day}} day of {{month}}, {{year}}

BETWEEN:

AND

1. GOODS SUBJECT TO AGREEMENT

1.1 The Seller agrees to sell and the Buyer agrees to purchase the following goods (hereinafter referred to as "the Goods"):

2. PURCHASE PRICE AND PAYMENT TERMS

2.1 The total purchase price for the Goods is {{total_purchase_price}} {{currency}} ({{total_purchase_price_words}}).

2.2 The Buyer shall pay the purchase price in {{number_of_instalments}} instalments of {{instalment_amount}} {{currency}} each, payable on or before the {{due_day}} day of each month, commencing on {{first_payment_date}}.

3. RETENTION OF OWNERSHIP

3.1 Notwithstanding delivery of the Goods, ownership of the Goods shall remain vested in the Seller until such time as the full purchase price, including any interest and other charges, has been paid by the Buyer to the Seller.

3.2 In the event of default by the Buyer, the Seller shall have the right to repossess the Goods without prejudice to any other rights or remedies available to the Seller at law.

4. DELIVERY AND RISK

4.1 Delivery of the Goods shall take place at {{delivery_location}} on or before {{delivery_date}}.

4.2 Risk of loss or damage to the Goods shall pass to the Buyer upon delivery, notwithstanding that ownership has not yet passed to the Buyer.

5. BUYER'S OBLIGATIONS

5.1 The Buyer shall keep the Goods insured against all risks for their full replacement value.

5.2 The Buyer shall not sell, lease, encumber, or otherwise dispose of the Goods until ownership has passed to the Buyer.

5.3 The Buyer shall maintain the Goods in good working order and condition and shall permit the Seller to inspect the Goods at all reasonable times.

6. BREACH AND TERMINATION

6.1 If the Buyer fails to make any payment on the due date, or breaches any other term of this Agreement, the Seller may, without prejudice to any other rights or remedies, terminate this Agreement.

6.2 Upon termination, the Seller shall be entitled to repossess the Goods and to claim any outstanding amounts due, including damages for breach of contract.

7. GOVERNING LAW AND JURISDICTION

7.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

7.2 Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country}}.
