Consortium Agreement
This Consortium Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date"), by and among the following parties (each a "Member" and collectively, the "Members"):

3. Background and Objectives
3.1. The Members desire to form a consortium (the "Consortium") to jointly undertake and execute the project described herein (the "Project").

4. Term and Termination
4.1. This Agreement shall commence on the Effective Date and shall continue until the completion of the Project, or until earlier terminated in accordance with the provisions of this Agreement.
4.2. Either party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Members in the event of a material breach of this Agreement by any other Member, provided such breach is not remedied within the notice period.

5. Governance and Management
5.1. The Consortium shall be governed by a Steering Committee comprising one representative from each Member.

6. Contributions and Funding

8. Confidentiality
8.1. All Members agree to keep confidential all non-public information received from other Members in connection with this Agreement and the Project.
8.2. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
9. Dispute Resolution
9.1. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_institution}}.

10. Governing Law

No Member shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labour or materials.
12. Entire Agreement
12.1. This Agreement constitutes the entire understanding and agreement between the Members with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Members.
