CONTENT LICENSE AGREEMENT

This Content License Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date"), by and between:

**LICENSOR:** {{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as "Licensor").

AND

**LICENSEE:** {{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as "Licensee").

Licensor and Licensee are hereinafter collectively referred to as the "Parties" and individually as a "Party".

1. DEFINITIONS

**1.1. "Content"** shall mean the specific intellectual property, including but not limited to {{description_of_content_type}} (e.g., articles, images, videos, audio, software) as further described in Schedule A.

**1.2. "Licensed Rights"** shall mean the non-exclusive, non-transferable right to use, reproduce, distribute, display, and perform the Content for the purposes and within the scope expressly set forth in this Agreement.

**1.3. "Territory"** shall mean {{territory_of_license}}.

**1.4. "Term"** shall mean the duration of this Agreement as defined in Section 3.

2. GRANT OF LICENSE

2.1. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee, and Licensee hereby accepts, a {{exclusive_or_non_exclusive}} right to use the Content within the Territory during the Term for the following purposes: {{specific_use_cases_of_content}}.

2.2. Licensee acknowledges that the Content, including all intellectual property rights therein, remains the sole property of the Licensor. Nothing in this Agreement shall be construed as a transfer of ownership of the Content.

3. TERM AND TERMINATION

3.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{duration_of_agreement}} (e.g., one year, five years), unless earlier terminated in accordance with the provisions of this Agreement.

3.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party in the event of a material breach of any term or condition of this Agreement by the other Party, provided that such breach is not cured within the notice period.

3.3. Upon termination of this Agreement, Licensee shall immediately cease all use of the Content and, upon request, return or destroy all copies of the Content in its possession or control.

4. FEES AND PAYMENT

4.1. In consideration for the Licensed Rights granted herein, Licensee shall pay Licensor a license fee of {{currency}}{{amount_of_license_fee}} ({{amount_in_words}}) as a {{payment_type_e.g., one-time_fee,_monthly_royalty,_per-use_fee}}. 5. INTELLECTUAL PROPERTY RIGHTS AND INDEMNIFICATION

5.1. Licensor warrants and represents that it has the full right, power, and authority to enter into this Agreement and to grant the Licensed Rights to Licensee without infringement of any third-party intellectual property rights.

5.2. Licensor shall indemnify, defend, and hold harmless Licensee from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the warranty in Section 5.1.

5.3. Licensee shall indemnify, defend, and hold harmless Licensor from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Licensee's unauthorized use of the Content or any breach of this Agreement.

6. WARRANTIES AND LIMITATION OF LIABILITY

6.1. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE CONTENT IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.2. IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

7.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_institution_name}} in {{arbitration_city}}, {{arbitration_country}}.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

IN WITNESS WHEREOF, the Parties hereto have executed this Content License Agreement as of the Effective Date.
