LEASE AGREEMENT FOR EQUIPMENT AND LEASEHOLD IMPROVEMENTS
This Lease Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
**{{Lessor_Company_Name}}**, a company duly incorporated under the laws of {{Lessor_Jurisdiction}}, with its principal place of business at {{Lessor_Address}} (hereinafter referred to as 'Lessor'); and
**{{Lessee_Company_Name}}**, a company duly incorporated under the laws of {{Lessee_Jurisdiction}}, with its principal place of business at {{Lessee_Address}} (hereinafter referred to as 'Lessee').
Collectively referred to as 'the Parties'.
1. LEASED PROPERTY
The Lessor hereby agrees to lease to the Lessee, and the Lessee agrees to lease from the Lessor, the following equipment (hereinafter referred to as 'Equipment'):

c. **Location of Equipment:** {{Equipment_Location}}
And the following leasehold improvements located at the premises situated at {{Premises_Address}} (hereinafter referred to as 'Leasehold Improvements'):

2. LEASE TERM
The term of this Agreement shall commence on {{Start_Date}} and shall continue for a period of {{Term_Years}} year(s) and {{Term_Months}} month(s), expiring on {{End_Date}}, unless terminated earlier in accordance with the provisions of this Agreement. This Agreement may be renewed upon mutual written consent of both Parties at least {{Notice_Period_Days}} days prior to the expiration of the current term.
3. RENTAL PAYMENTS
The Lessee shall pay to the Lessor a monthly rental fee of {{Monthly_Rent_Amount}} ({{Monthly_Rent_Amount_Words}}) in advance on the first day of each month, commencing on {{First_Payment_Date}}. All payments shall be made to the Lessor at {{Lessor_Payment_Address}} or such other address as the Lessor may designate in writing. Any overdue payments shall incur an interest charge of {{Interest_Rate_Percent}}% per annum, calculated daily.
4. MAINTENANCE AND REPAIRS
**4.1 Equipment Maintenance:** The Lessee shall, at its own expense, keep the Equipment in good repair and operating condition, reasonable wear and tear excepted. The Lessee shall be responsible for all routine maintenance, servicing, and minor repairs.
**4.2 Leasehold Improvements Maintenance:** The Lessee shall be responsible for the maintenance and repair of the Leasehold Improvements, subject to fair wear and tear. Major structural repairs to the Leasehold Improvements, unless caused by the Lessee's negligence or misuse, shall be the responsibility of the Lessor.
**4.3 Notification of Defects:** The Lessee shall promptly notify the Lessor of any defects or malfunctions in the Equipment or Leasehold Improvements requiring major repair.
5. INSURANCE
The Lessee shall, at its own expense, obtain and maintain comprehensive insurance coverage for the full replacement value of the Equipment and the Leasehold Improvements against loss or damage due to fire, theft, accident, and other perils, naming the Lessor as an additional insured. Proof of insurance shall be provided to the Lessor upon execution of this Agreement and annually thereafter.
6. USAGE AND ALTERATIONS
**6.1 Permitted Use:** The Equipment and Leasehold Improvements shall be used by the Lessee solely for {{Permitted_Use_Description}} and in a lawful manner.
**6.2 Alterations to Leasehold Improvements:** The Lessee shall not make any structural alterations or additions to the Leasehold Improvements without the prior written consent of the Lessor. Any approved alterations shall become the property of the Lessor upon termination of this Agreement, unless otherwise agreed in writing.
7. DEFAULT AND TERMINATION
**7.1 Events of Default:** The occurrence of any of the following shall constitute an event of default by the Lessee:
a. Failure to pay any rental payment when due.
b. Breach of any other term or condition of this Agreement.
c. Insolvency or bankruptcy of the Lessee.
**7.2 Remedies upon Default:** Upon an event of default, the Lessor may, at its option, without prejudice to any other rights or remedies available at law or in equity:
a. Terminate this Agreement immediately.
b. Re-possess the Equipment and Leasehold Improvements without notice.
c. Claim damages for outstanding rent and any other losses incurred.
8. RETURN OF LEASED PROPERTY
Upon termination of this Agreement for any reason, the Lessee shall return the Equipment to the Lessor at {{Return_Location}} in substantially the same condition as when received, reasonable wear and tear excepted. The Leasehold Improvements shall be returned in good repair, ordinary wear and tear excepted, unless specified otherwise in writing.
9. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{Governing_Jurisdiction}}. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{Jurisdiction_Court_City}}, {{Jurisdiction_Court_Country}}.
