EXCLUSIVE LISTING AGREEMENT

This Exclusive Listing Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{date_of_agreement}}.

BETWEEN:

{{seller_name}} of {{seller_address}} (hereinafter referred to as "the Seller")

AND

{{agency_name}} of {{agency_address}} (hereinafter referred to as "the Agency").

1. APPOINTMENT OF AGENCY

The Seller hereby grants the Agency the sole and exclusive right to market and sell the property located at {{property_address}}, including title deed description {{title_deed_description}} (hereinafter referred to as "the Property"). This exclusive mandate shall commence on {{start_date}} and terminate on {{end_date}} (hereinafter referred to as "the Mandate Period").

2. SELLING PRICE

The Seller instructs the Agency to market the Property at a selling price of {{currency}} {{selling_price}} ({{selling_price_words}}), or such other price as may be agreed upon in writing between the Seller and the Agency.

3. AGENCY COMMISSION

In the event that the Agency secures a willing and able purchaser for the Property during the Mandate Period, the Seller shall pay the Agency a commission of {{commission_percentage}}% ({{commission_percentage_words}} percent) of the gross selling price, plus Value Added Tax (VAT) if applicable. Commission shall be payable on transfer of the Property into the purchaser's name.

4. MARKETING AND ADVERTISING

The Agency is authorised to market and advertise the Property using various methods including, but not limited to, online portals, print media, show days, and placement of a "For Sale" sign on the Property. The Seller agrees to provide reasonable access to the Property for viewings by prospective purchasers, subject to prior arrangement with the Agency.

5. SELLER'S OBLIGATIONS

The Seller warrants that they are the legal owner of the Property and have the full right and authority to sell it. The Seller undertakes to provide the Agency with all necessary information and documentation pertaining to the Property, including any defects or encumbrances, and to cooperate fully with the Agency throughout the Mandate Period.

6. CONFIDENTIALITY

The Agency agrees to keep all confidential information provided by the Seller in connection with the sale of the Property confidential, save for disclosure to prospective purchasers or as required by law.

7. TERMINATION

This Agreement may be terminated by either party upon {{notice_period}} days' written notice to the other, provided such notice does not fall within the initial Mandate Period, or in the event of a material breach of this Agreement by either party.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of {{country_name}}.
