EXCLUSIVE TENANT BROKERAGE AGREEMENT
This Exclusive Tenant Brokerage Agreement (hereinafter referred to as “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}} (the “Effective Date”), by and between:
{{broker_company_name}}, a company duly incorporated and registered in accordance with the laws of {{broker_jurisdiction}}, with its principal place of business at {{broker_address}} (hereinafter referred to as “the Broker”);
AND
{{client_company_name}}, a company duly incorporated and registered in accordance with the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as “the Client”).
Collectively referred to as “the Parties” and individually as “Party”.
1. APPOINTMENT AND EXCLUSIVITY
1.1 The Client hereby appoints the Broker as its sole and exclusive agent to locate, negotiate, and secure suitable commercial property for lease within the geographic area of {{target_area}} (the “Designated Area”) for a period commencing on the Effective Date and terminating on {{end_date}} (the “Term”), unless extended or terminated earlier in accordance with the provisions of this Agreement.
1.2 During the Term, the Client agrees not to engage or contract with any other real estate broker, agent, or intermediary for the purpose of identifying or leasing commercial property in the Designated Area, nor shall the Client directly negotiate with any property owners or landlords for such properties without the express written consent of the Broker.
2. BROKER'S OBLIGATIONS
2.1 The Broker shall use its best efforts and due diligence to identify and present suitable commercial properties to the Client that meet the Client’s specified requirements, including but not limited to, {{property_type}}, {{minimum_square_meters}} square meters, and a maximum monthly rental of {{maximum_rent_currency}} {{maximum_rent_amount}}.
2.2 The Broker shall assist the Client in evaluating potential properties, conducting site visits, preparing offers to lease, and negotiating lease terms with landlords.
2.3 The Broker shall provide the Client with market information and professional advice relevant to the commercial leasing market in the Designated Area.
3. CLIENT'S OBLIGATIONS
3.1 The Client shall provide the Broker with accurate and complete information regarding its property requirements and financial capacity.
3.2 The Client shall promptly consider all suitable properties presented by the Broker and provide timely feedback.
3.3 The Client shall not directly contact or negotiate with any property owner or landlord of a property introduced by the Broker during the Term of this Agreement and for a period of {{post_term_days}} days thereafter, without including the Broker in such communications or negotiations.
4. COMMISSION
4.1 In consideration for the services rendered by the Broker, the Client agrees to pay the Broker a commission equal to {{commission_percentage}}% of the total aggregate gross rental payable over the initial lease term (including any pre-agreed escalation rates), or a flat fee of {{flat_fee_currency}} {{flat_fee_amount}}, whichever is agreed upon in writing by the Parties.
4.2 The commission shall be earned upon the signing of a legally binding lease agreement or similar document between the Client and a landlord for a property introduced by the Broker.
4.3 The commission shall be payable within {{payment_days}} days of the commencement date of the lease or the date the Client takes beneficial occupation of the property, whichever occurs first.
4.4 In the event that a lease includes an option to renew or extend, and the Client exercises such option, the Broker shall be entitled to an additional commission of {{renewal_commission_percentage}}% of the gross rental for the renewed or extended term, payable upon the commencement of such renewed or extended term.
5. TERM AND TERMINATION
5.1 This Agreement shall commence on the Effective Date and continue for the Term specified in Clause 1.1, unless terminated earlier as provided herein.
5.2 Either Party may terminate this Agreement by giving {{notice_days}} days’ written notice to the other Party if the other Party commits a material breach of any of its obligations hereunder and fails to remedy such breach within {{cure_days}} days of receiving written notice requiring it to do so.
5.3 Upon termination of this Agreement, the obligations regarding commission for properties introduced during the Term shall survive.
6. CONFIDENTIALITY
6.1 Both Parties agree to keep confidential all proprietary and non-public information disclosed by the other Party during the course of this Agreement.
6.2 This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_years}} years.
7. GOVERNING LAW AND JURISDICTION
7.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.
7.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of {{governing_country}}.
8. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
9. SIGNATURES
IN WITNESS WHEREOF, the Parties have executed this Exclusive Tenant Brokerage Agreement on the date first above written.
