EXCLUSIVITY AGREEMENT
This Exclusivity Agreement ("Agreement") is entered into on this {{date_of_agreement}} day of {{month}}, {{year}}, by and between:
**{{disclosing_party_company_name}}** (Company Registration Number: {{disclosing_party_cr_number}}), a company duly incorporated and existing under the laws of {{disclosing_party_country}}, with its principal place of business at {{disclosing_party_address}} (hereinafter referred to as "Disclosing Party"); and
**{{receiving_party_company_name}}** (Company Registration Number: {{receiving_party_cr_number}}), a company duly incorporated and existing under the laws of {{receiving_party_country}}, with its principal place of business at {{receiving_party_address}} (hereinafter referred to as "Receiving Party").
The Disclosing Party and the Receiving Party are hereinafter collectively referred to as the “Parties” and individually as a “Party”.
1. PURPOSE OF AGREEMENT
The Disclosing Party desires to grant the Receiving Party an exclusive right to {{purpose_of_exclusivity_grant}} for a specified period, and the Receiving Party desires to accept such exclusive right, subject to the terms and conditions set forth herein.
2. EXCLUSIVITY PERIOD
This Agreement shall commence on {{start_date}} and shall remain in full force and effect until midnight on {{end_date}} (the “Exclusivity Period”). During the Exclusivity Period, the Disclosing Party shall not, directly or indirectly, solicit, initiate, or engage in any discussions, negotiations, or agreements with any third party concerning {{subject_matter_of_exclusivity}}.
3. CONSIDERATION
In consideration for the exclusive rights granted herein, the Receiving Party shall pay the Disclosing Party a non-refundable fee of {{currency}} {{amount}} ({{amount_in_words}}), payable on or before {{payment_due_date}}. 4. CONFIDENTIALITY
During the Exclusivity Period and for a period of {{confidentiality_period}} years thereafter, the Receiving Party shall keep confidential all non-public information disclosed by the Disclosing Party concerning {{subject_matter_of_exclusivity}}, including but not limited to financial data, business plans, and proprietary information. The Receiving Party shall not disclose such confidential information to any third party without the prior written consent of the Disclosing Party, except as required by law.
5. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of {{country_of_governing_law}}. The Parties hereby irrevocably submit to the exclusive jurisdiction of the courts of {{city_of_jurisdiction}}, {{country_of_jurisdiction}} for the purpose of settling any disputes arising out of or in connection with this Agreement.
6. TERMINATION
This Agreement may be terminated by either Party in the event of a material breach by the other Party, provided that the breaching Party has been given {{notice_period_days}} days' written notice to cure such breach and has failed to do so. Upon termination, the exclusivity obligations shall cease, but confidentiality obligations shall survive.
7. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
