FILM PRODUCTION AGREEMENT
This Film Production Agreement (the "Agreement") is made and entered into as of {{date}} (the "Effective Date"), by and between:
1. {{production_company_name}}, a company duly incorporated and existing under the laws of {{production_company_jurisdiction}}, with its principal place of business at {{production_company_address}} (hereinafter referred to as the "Producer"); and
2. {{financier_company_name}}, a company duly incorporated and existing under the laws of {{financier_company_jurisdiction}}, with its principal place of business at {{financier_company_address}} (hereinafter referred to as the "Financier").
The Producer and the Financier are hereinafter collectively referred to as the "Parties" and individually as a "Party".
RECITALS
WHEREAS, the Producer is engaged in the business of film production and desires to produce a film tentatively titled "{{film_title}}" (the "Film");
WHEREAS, the Financier desires to invest in the production of the Film, subject to the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. FINANCING AND BUDGET
1.1. The Financier agrees to provide financing to the Producer for the production of the Film in the amount of {{financing_amount}} ({{currency}}) (the "Financing").
1.2. The Financing shall be disbursed in installments according to the schedule set forth in Schedule A, attached hereto and incorporated herein by reference.
1.3. The Producer shall develop and adhere to a detailed production budget for the Film, which shall be approved in writing by the Financier (the "Approved Budget"). Any material deviation from the Approved Budget shall require the prior written consent of the Financier.
2. PRODUCTION AND DELIVERABLES
2.1. The Producer shall be solely responsible for the physical production of the Film, including but not limited to, securing cast and crew, locations, equipment, and post-production services.
2.2. The Producer shall deliver the completed Film to the Financier by {{delivery_date}}, in accordance with the specifications set forth in Schedule B, attached hereto and incorporated herein by reference (the "Deliverables").
2.3. The Producer shall provide regular progress reports to the Financier, as specified in Schedule C, attached hereto and incorporated herein by reference.
3. RIGHTS AND OWNERSHIP
3.1. Subject to the terms of this Agreement, all intellectual property rights, including copyright, in the Film shall be owned by {{ownership_entity}}.
3.2. The Financier shall be entitled to receive {{percentage_of_net_profits}}% of the net profits derived from the exploitation of the Film, as defined in Schedule D, attached hereto and incorporated herein by reference.
3.3. The Producer grants the Financier certain rights to market and promote the Film, as further detailed in Schedule E, attached hereto and incorporated herein by reference.
4. REPRESENTATIONS AND WARRANTIES
4.1. The Producer represents and warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder.
4.2. The Producer further represents and warrants that the Film will not violate or infringe upon the intellectual property rights or other rights of any third party.
4.3. The Financier represents and warrants that it has the full right, power, and authority to enter into this Agreement and to provide the Financing.
5. GOVERNING LAW AND DISPUTE RESOLUTION
5.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
5.2. Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in accordance with the rules of {{mediation_body}}.
5.3. If mediation is unsuccessful, the dispute shall be resolved by arbitration in accordance with the rules of {{arbitration_body}}.
6. CONFIDENTIALITY
6.1. The Parties agree to keep confidential all non-public information disclosed by one Party to the other in connection with this Agreement and the Film.
6.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.
7. TERMINATION
7.1. This Agreement may be terminated by either Party in the event of a material breach by the other Party, which breach is not cured within {{cure_period}} days of written notice.
7.2. The specific consequences of termination, including repayment obligations and rights to the Film, are outlined in Schedule F, attached hereto and incorporated herein by reference.
8. ENTIRE AGREEMENT
This Agreement, together with its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
