BACKGROUND

A. The Borrower has entered into, or intends to enter into, a primary agreement with the Creditor (hereinafter, the “Principal Agreement”) for {{description_of_principal_agreement}}.

B. Under the Principal Agreement, the Borrower has incurred, or will incur, certain financial obligations to the Creditor (hereinafter, the “Obligations”).

C. The Guarantor has agreed to guarantee the due and punctual performance and observance of all the Obligations of the Borrower under the Principal Agreement.

THE GUARANTEE

1. In consideration of the Creditor entering into the Principal Agreement with the Borrower, the Guarantor irrevocably and unconditionally guarantees to the Creditor the due and punctual performance and observance by the Borrower of all the Obligations.

2. The Guarantor agrees that, in the event the Borrower fails to perform any of its Obligations when due, the Guarantor shall immediately, upon written demand from the Creditor, perform such Obligations or pay to the Creditor the amount due, up to a maximum guaranteed amount of {{currency}} {{guaranteed_amount_in_words}} ({{currency}} {{guaranteed_amount_in_figures}}).

3. This Guarantee is a continuing guarantee and shall remain in full force and effect until all the Obligations have been fully and finally discharged.

4. The Guarantor hereby waives notice of acceptance of this Guarantee and notice of any indebtedness or obligation of the Borrower to the Creditor. The Guarantor further waives presentment, demand, protest, notices of protest, dishonor, and all other notices or demands in connection with this Guarantee.

COVENANTS OF THE GUARANTOR

1. The Guarantor covenants that it has full power and authority to enter into and perform its obligations under this Agreement.

2. The Guarantor shall provide to the Creditor, upon request, any financial information that the Creditor may reasonably require concerning the Guarantor's financial condition.

GENERAL PROVISIONS

1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements.

2. No amendment or modification of this Agreement shall be effective unless in writing and signed by all parties hereto.

3. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

4. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of {{arbitration_institution}}.

5. If any provision of this Agreement is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable, or illegal, the other provisions shall remain in full force and effect.
