FINDER'S FEE AGREEMENT

This Finder's Fee Agreement ("Agreement") is made and entered into as of {{effective_date}} (the "Effective Date"), by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{company_jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company" or "Principal");

AND

{{finder_name}}, an individual residing at {{finder_address}} / a company duly incorporated and existing under the laws of {{finder_jurisdiction}}, with its principal place of business at {{finder_address}} (hereinafter referred to as "the Finder").

The Company and the Finder are hereinafter collectively referred to as the "Parties" and individually as a "Party".

RECITALS

WHEREAS, the Company is engaged in the business of {{company_business_description}}.

WHEREAS, the Finder is desirous of introducing potential clients, investors, or business opportunities (hereinafter referred to as "Clients/Opportunities") to the Company.

WHEREAS, the Parties wish to define the terms and conditions under which the Finder shall be compensated for such introductions.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the Parties hereto agree as follows:

1. ENGAGEMENT OF FINDER

1.1 The Company hereby engages the Finder, and the Finder hereby accepts such engagement, to introduce to the Company such Clients/Opportunities as the Finder may identify and deem suitable for the Company's business.

1.2 The Finder shall use their best efforts to introduce viable Clients/Opportunities to the Company. The Finder acknowledges and agrees that they are acting solely as an independent contractor and not as an employee, partner, or agent of the Company.

2. COMPENSATION

2.1 In consideration for the successful introduction of a Client/Opportunity that results in a definitive agreement or transaction between the Company and the introduced Client/Opportunity, the Company shall pay the Finder a fee ("Finder's Fee").

2.2 The Finder's Fee shall be {{fee_percentage}}% of the gross revenue/transaction value generated by the Company from the introduced Client/Opportunity, specifically for {{specific_services_products}}.

2.3 The Finder's Fee shall be calculated on {{calculation_basis}} and shall be due and payable within {{payment_days}} days of the Company's receipt of payment from the introduced Client/Opportunity.

2.4 The Company shall provide the Finder with a statement of account detailing the basis of the Finder's Fee calculation upon reasonable request.

3. TERM AND TERMINATION

3.1 This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of {{term_duration}} unless terminated earlier in accordance with the provisions hereof.

3.2 Either Party may terminate this Agreement by providing {{notice_period}} days' written notice to the other Party.

3.3 Notwithstanding termination, the Company shall remain obligated to pay any Finder's Fee earned prior to the effective date of termination, or for introductions made prior to termination that result in a transaction within {{post_termination_period}} days of termination.

4. CONFIDENTIALITY

4.1 Both Parties agree to treat as confidential all information, whether oral or written, obtained from the other Party in connection with this Agreement, including but not limited to business plans, client lists, financial data, and other proprietary information ("Confidential Information").

4.2 Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing Party, except as required by law.

4.3 This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

5. INDEMNIFICATION

5.1 The Finder agrees to indemnify and hold harmless the Company from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach by the Finder of their obligations under this Agreement.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

6.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the arbitration rules of {{arbitration_institution}}.

7. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
