Fiscal Agency Agreement

This Fiscal Agency Agreement (the 'Agreement') is made and entered into this {{date_of_agreement}}

BETWEEN:

{{principal_company_name}}, a company duly incorporated under the laws of {{jurisdiction_principal}}, with its registered address at {{principal_company_address}} (hereinafter referred to as 'the Principal')

AND

{{fiscal_agent_company_name}}, a company duly incorporated under the laws of {{jurisdiction_fiscal_agent}}, with its registered address at {{fiscal_agent_company_address}} (hereinafter referred to as 'the Fiscal Agent')

The Principal and the Fiscal Agent are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.

Recitals

WHEREAS, the Principal desires to appoint the Fiscal Agent to perform certain financial management and administrative functions on its behalf;

WHEREAS, the Fiscal Agent has the necessary expertise, resources, and facilities to perform such functions;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

Appointment and Acceptance

1.1. The Principal hereby appoints the Fiscal Agent to act as its fiscal agent for the purposes and on the terms and conditions set forth in this Agreement.

1.2. The Fiscal Agent hereby accepts such appointment and agrees to perform the duties and obligations of a fiscal agent in accordance with the terms of this Agreement.

Scope of Services

2.1. The Fiscal Agent shall provide the following services (the 'Services') to the Principal:

a) Receiving, holding, and disbursing funds as instructed by the Principal.

b) Maintaining accurate financial records and accounts related to the Principal’s funds.

c) Preparing and submitting periodic financial reports to the Principal, as specified in Section 4.

d) Ensuring compliance with all applicable financial regulations, laws, and reporting requirements in {{jurisdiction}}.

e) Facilitating payments to third parties as authorized by the Principal.

f) Any other financial administration tasks as mutually agreed upon by the Parties in writing.

2.2. The Fiscal Agent shall act solely on the written instructions of the Principal when conducting any financial transactions or managing funds.

Fees and Expenses

3.1. In consideration for the Services provided by the Fiscal Agent, the Principal shall pay the Fiscal Agent a fee of {{fee_amount}} ({{fee_currency}}) per {{fee_period}}.

3.2. All fees shall be payable within {{payment_due_days}} days of the invoice date.

3.3. The Principal shall reimburse the Fiscal Agent for all reasonable and necessary out-of-pocket expenses incurred by the Fiscal Agent in the performance of its duties hereunder, provided that such expenses are pre-approved by the Principal in writing if exceeding {{expense_approval_threshold}}.

Reporting and Accountability

4.1. The Fiscal Agent shall provide the Principal with a detailed financial report on a {{reporting_frequency}} basis, covering all financial activities undertaken on behalf of the Principal during the reporting period.

4.2. Such reports shall include, but not be limited to, statements of receipts, disbursements, and current balances.

4.3. The Fiscal Agent shall maintain all records related to the Principal’s funds for a minimum of {{record_retention_years}} years and shall make these records available for inspection by the Principal upon reasonable notice.

Term and Termination

5.1. This Agreement shall commence on the Effective Date of {{effective_date}} and shall continue for a period of {{agreement_term_years}} years, unless terminated earlier in accordance with the provisions of this Section.

5.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

Confidentiality

6.1. Both Parties agree to keep confidential all non-public information received from the other Party during the course of this Agreement and not to disclose such information to any third party without prior written consent, except as required by law.

Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of {{arbitration_body}}.
