FREE LINKING AGREEMENT
This Free Linking Agreement ('Agreement') is made and entered into effective as of {{effective_date}} (the 'Effective Date'), by and between:
1. {{linking_party_1_name}}, a company duly incorporated and existing under the laws of {{jurisdiction_1}}, with its principal place of business at {{linking_party_1_address}} (hereinafter referred to as 'Party A'); and
2. {{linking_party_2_name}}, a company duly incorporated and existing under the laws of {{jurisdiction_2}}, with its principal place of business at {{linking_party_2_address}} (hereinafter referred to as 'Party B').
Party A and Party B are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.
RECITALS
WHEREAS, Party A operates a website located at {{party_a_website_url}} (the 'Party A Website');
WHEREAS, Party B operates a website located at {{party_b_website_url}} (the 'Party B Website');
WHEREAS, the Parties desire to establish a non-exclusive, non-monetary linking arrangement whereby each Party may display a link to the other Party's Website on their respective Website, subject to the terms and conditions set forth herein.
1. GRANT OF LICENSE
1.1. Party A hereby grants to Party B a revocable, non-exclusive, non-transferable, royalty-free license to display a link to the Party A Website on the Party B Website.
1.2. Party B hereby grants to Party A a revocable, non-exclusive, non-transferable, royalty-free license to display a link to the Party B Website on the Party A Website.
2. LINK PLACEMENT AND APPEARANCE
2.1. Each Party agrees to place the link to the other Party's Website in a reasonable and appropriate location on their respective Website, as mutually agreed upon by the Parties or as specified in Appendix A (if applicable).
2.2. The link shall consist of the other Party's name, logo, or a mutually agreed-upon graphic (the 'Link Graphic'), which shall be provided by the respective Party.
2.3. Each Party shall ensure that the Link Graphic is displayed in a clear and prominent manner and that it accurately represents the other Party.
2.4. Each Party may, at its sole discretion, remove or modify its link to the other Party's Website at any time, with reasonable notice to the other Party, unless otherwise agreed.
3. WARRANTIES AND REPRESENTATIONS
3.1. Each Party warrants and represents that:
(a) It has the full right, power, and authority to enter into this Agreement and to grant the licenses herein granted;
(b) Its Website and the content thereon do not infringe upon any intellectual property rights of any third party;
(c) Its Website and the content thereon comply with all applicable laws and regulations.
3.2. Each Party acknowledges and agrees that the other Party makes no warranties or representations regarding the availability, functionality, or content of its Website.
4. DISCLAIMER OF ENDORSEMENT
4.1. The Parties acknowledge and agree that the placement of a link to the other Party's Website does not imply any endorsement, sponsorship, or affiliation by the linking Party of the linked Party or its products, services, or content.
4.2. Each Party shall ensure that any accompanying text or context around the link clearly indicates that the link is provided for informational purposes only and does not constitute an endorsement.
5. TERM AND TERMINATION
5.1. This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either Party.
5.2. Either Party may terminate this Agreement at any time, with or without cause, by providing {{notice_period}} days' written notice to the other Party.
5.3. Upon termination of this Agreement, each Party shall promptly remove all links to the other Party's Website from its own Website.
6. INDEMNIFICATION
6.1. Each Party agrees to indemnify, defend, and hold harmless the other Party, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
(a) A breach of any of its representations or warranties under this Agreement;
(b) Any claim that its Website or content infringes upon the intellectual property rights of any third party;
(c) Any negligent or wilful misconduct by the indemnifying Party.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.
7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by negotiation between the Parties. If the Parties are unable to resolve the dispute through negotiation within {{negotiation_period}} days, the dispute shall be submitted to mediation in {{mediation_location}} in accordance with the rules of {{mediation_organisation}}. If mediation is unsuccessful, either Party may pursue any available legal remedies.
8. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
9. SIGNATURES
IN WITNESS WHEREOF, the Parties have executed this Free Linking Agreement as of the Effective Date.
