FUEL SUPPLY AGREEMENT

This Fuel Supply Agreement (hereinafter referred to as "Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date"),

BY AND BETWEEN:

{{supplier_company_name}}, a company duly incorporated and operating under the laws of {{supplier_jurisdiction}}, with its principal place of business at {{supplier_address}} (hereinafter referred to as "the Supplier");

AND

{{buyer_company_name}}, a company duly incorporated and operating under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} (hereinafter referred to as "the Buyer").

Each of the Supplier and the Buyer shall hereinafter be collectively referred to as “the Parties” and individually as “a Party”.

1. AGREEMENT TO SUPPLY AND PURCHASE

1.1. The Supplier agrees to sell and supply, and the Buyer agrees to purchase and receive, petroleum products (hereinafter referred to as "Fuel") as specified in Schedule A (Product Specifications and Quantities) attached hereto and incorporated by reference.

1.2. The Fuel shall be delivered by the Supplier to the Buyer's designated delivery points at {{delivery_address_1}}, {{delivery_address_2}}, and {{delivery_address_3}} (hereinafter referred to as “Delivery Points”) in accordance with the delivery schedule outlined in Schedule B (Delivery Schedule) attached hereto.

1.3. The quantity of Fuel to be supplied shall be {{total_contract_quantity}} litres, or as otherwise agreed upon by both Parties in writing, for the duration of this Agreement.

2. TERM OF AGREEMENT

2.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{agreement_term}} (e.g., twelve (12) months) unless terminated earlier in accordance with the provisions of this Agreement.

2.2. This Agreement may be renewed for successive periods upon mutual written agreement of both Parties, subject to revised terms and conditions.

3. PRICE AND PAYMENT

3.1. The price for the Fuel supplied under this Agreement shall be {{currency}} {{price_per_litre}} per litre, exclusive of Value Added Tax (VAT) and any other applicable taxes or duties, which shall be borne by the Buyer.

3.2. Prices may be subject to adjustment based on market fluctuations. Any price adjustments shall be communicated by the Supplier to the Buyer with {{notice_period}} days’ written notice.

3.3. Invoices shall be submitted by the Supplier to the Buyer on a {{billing_frequency}} basis. Payment terms are strictly {{payment_terms}} days from the date of invoice.

3.4. Overdue payments shall accrue interest at a rate of {{interest_rate}}% per annum, compounded monthly.

4. DELIVERY AND ACCEPTANCE

4.1. The Supplier shall ensure that all Fuel deliveries are made in accordance with the agreed-upon delivery schedule and at the specified Delivery Points.

4.2. The Buyer shall inspect all deliveries of Fuel upon receipt to ensure that the quantity and quality meet the specifications set out in Schedule A. Any discrepancies must be reported to the Supplier in writing within {{inspection_period}} hours of delivery.

4.3. Risk and title to the Fuel shall pass from the Supplier to the Buyer upon completion of offloading at the Delivery Point.

5. WARRANTIES

5.1. The Supplier warrants that the Fuel supplied shall be of merchantable quality and shall conform to the specifications detailed in Schedule A.

5.2. The Supplier further warrants that it has all necessary licenses, permits, and authorisations to supply the Fuel.

6. TERMINATION

6.1. Either Party may terminate this Agreement by providing {{termination_notice_period}} days’ written notice to the other Party.

6.2. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of its obligations under this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

7. FORCE MAJEURE

7.1. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fires, floods, earthquakes, or other natural disasters (hereinafter referred to as “Force Majeure Event”).

7.2. The Party affected by a Force Majeure Event shall promptly notify the other Party in writing of the occurrence of such event and its expected duration.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

8.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be resolved through good faith negotiations between the Parties. If the dispute cannot be resolved amicably within {{negotiation_period}} days, it shall be referred to arbitration in accordance with the rules of the {{arbitration_body}}.

9. ENTIRE AGREEMENT

9.1. This Agreement, including all attached schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
