GUARANTY OF LEASE
This Guaranty of Lease (hereinafter referred to as the "Guaranty") is made and entered into this {{day}} day of {{month}}, {{year}}, by and between:
{{Guarantor_name}} (hereinafter referred to as the "Guarantor"), with its principal place of business/residential address at {{Guarantor_address}}, and
{{Landlord_name}} (hereinafter referred to as the "Landlord"), with its principal place of business/residential address at {{Landlord_address}}.
WHEREAS, the Landlord and {{Tenant_name}} (hereinafter referred to as the "Tenant") have entered into a Lease Agreement (hereinafter referred to as the "Lease") dated {{lease_agreement_date}} for the premises located at {{premises_address}} (hereinafter referred to as the "Leased Premises"); and
WHEREAS, the Landlord requires the execution of this Guaranty as a condition precedent to entering into the Lease with the Tenant.
1. GUARANTY
For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Guarantor hereby unconditionally guarantees to the Landlord the full and punctual payment and performance of all monetary and non-monetary obligations, covenants, and agreements of the Tenant under the Lease, including but not limited to, the payment of rent, additional rent, utility charges, damages to the Leased Premises, and all other sums and charges payable by the Tenant under the Lease (collectively, the "Obligations").
This Guaranty is a continuing guaranty and shall remain in full force and effect until all Obligations of the Tenant under the Lease have been fully and finally satisfied.
2. NATURE OF GUARANTY
This Guaranty is an absolute, unconditional, and continuing guaranty of payment and performance, and not merely of collection. The Guarantor agrees that its liability under this Guaranty shall be primary and direct, and that the Landlord shall not be required to exhaust its remedies against the Tenant or any other guarantor or security before proceeding against the Guarantor.
3. WAIVERS
The Guarantor hereby waives notice of acceptance of this Guaranty, notice of any default by the Tenant under the Lease, and any right to require the Landlord to proceed against the Tenant or any other person or entity, or to pursue any other remedy in the Landlord's power whatsoever. The Guarantor waives any defense arising by reason of any disability or other defense of the Tenant, or any cessation of the Tenant's liability. The Guarantor waives all presentments, demands for performance, protests, notices of non-performance, and notices of dishonor.
4. INDEMNIFICATION
The Guarantor further agrees to indemnify and hold harmless the Landlord from and against any and all losses, costs, damages, expenses (including reasonable attorney's fees), and liabilities whatsoever incurred by the Landlord as a result of any breach or default by the Tenant of its Obligations under the Lease, or in enforcing this Guaranty.
5. TERM AND TERMINATION
This Guaranty shall remain in full force and effect for the entire term of the Lease, including any extensions, renewals, or holdovers, until all Obligations of the Tenant under the Lease are satisfied in full. Termination of the Lease, for whatever reason, shall not relieve the Guarantor of its obligations for liabilities incurred prior to such termination.
6. GOVERNING LAW
This Guaranty shall be governed by and construed in accordance with the laws of {{jurisdiction}}.
7. NOTICES
Any notice required or permitted to be given under this Guaranty shall be in writing and shall be deemed to have been duly given when delivered personally or sent by certified or registered mail, postage prepaid, to the parties at their respective addresses set forth above, or to such other address as any party may designate by written notice to the other parties.
8. ENTIRE AGREEMENT
This Guaranty constitutes the entire agreement between the Guarantor and the Landlord with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
