DISTRIBUTION AGREEMENT
This Distribution Agreement ("Agreement") is made and entered into as of this {{day}} day of {{month}}, {{year}} (the "Effective Date"), By and Between:
{{supplier_company_name}}, a company duly incorporated and existing under the laws of {{supplier_jurisdiction}}, with its principal place of business at {{supplier_address}} ("Supplier"); and
{{distributor_company_name}}, a company duly incorporated and existing under the laws of {{distributor_jurisdiction}}, with its principal place of business at {{distributor_address}} ("Distributor").
Hereinafter collectively referred to as the "Parties" and individually as a "Party".
1. APPOINTMENT AND SCOPE OF APPOINTMENT
1.1. The Supplier hereby appoints the Distributor as its non-exclusive/exclusive distributor for the sale and distribution of the Products (as defined below) within the Territory (as defined below), and the Distributor hereby accepts such appointment.
1.2. The "Products" shall mean: {{product_description}}.
1.3. The "Territory" shall mean: {{territory_description}}.
2. TERM OF AGREEMENT
2.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} years/months, unless earlier terminated in accordance with the provisions of this Agreement.
2.2. This Agreement may be renewed for successive {{renewal_duration}} periods upon mutual written agreement of the Parties, subject to review of the Distributor's performance.
3. DISTRIBUTOR'S OBLIGATIONS
3.1. The Distributor shall use its best endeavours to promote, market, distribute, and sell the Products throughout the Territory.
3.2. The Distributor shall maintain adequate inventory levels of the Products to meet customer demand within the Territory.
3.3. The Distributor shall promptly forward to the Supplier any enquiries or orders received from outside the Territory.
3.4. The Distributor shall comply with all applicable laws, regulations, and industry standards in the performance of its obligations under this Agreement.
4. SUPPLIER'S OBLIGATIONS
4.1. The Supplier shall supply the Products to the Distributor at the prices and on the terms agreed upon in Schedule A.
4.2. The Supplier shall provide the Distributor with all necessary marketing materials, technical support, and training concerning the Products.
4.3. The Supplier shall ensure that the Products comply with all relevant quality standards and specifications.
5. PRICING, PAYMENT AND INVOICING
5.1. The prices for the Products shall be as set out in Schedule A, which may be updated by the Supplier from time to time with reasonable notice to the Distributor.
5.2. Payment terms shall be {{payment_terms}} days from the date of invoice.
5.3. All invoices shall be submitted by the Supplier to the Distributor at {{distributor_billing_email}}.
6. INTELLECTUAL PROPERTY
6.1. All intellectual property rights related to the Products, including trademarks, copyrights, and patents, shall remain the sole property of the Supplier.
6.2. The Distributor is granted a non-exclusive, non-transferable license to use the Supplier's trademarks and other intellectual property solely for the purpose of marketing and distributing the Products within the Territory, in accordance with the Supplier's guidelines.
7. CONFIDENTIALITY
7.1. Both Parties agree to keep confidential all proprietary or confidential information disclosed by one Party to the other during the term of this Agreement and for a period of {{confidentiality_period}} years thereafter.
7.2. Confidential information includes, but is not limited to, business plans, customer lists, pricing strategies, and technical data.
8. TERMINATION
8.1. Either Party may terminate this Agreement by giving {{notice_period}} days' written notice to the other Party in the event of a material breach of any provision of this Agreement by the other Party, which breach is not remedied within {{cure_period}} days of receipt of written notice requesting its remedy.
8.2. Either Party may terminate this Agreement immediately upon written notice if the other Party becomes insolvent, files for bankruptcy, or goes into liquidation.
9. GOVERNING LAW AND DISPUTE RESOLUTION
9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
9.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation between the Parties.
9.3. If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by arbitration in accordance with the rules of {{arbitration_institution}}.
10. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
