INDUSTRIAL DESIGN ASSIGNMENT AGREEMENT

This Industrial Design Assignment Agreement (the “Agreement”) is made and entered into this {{day}} day of {{month}}, {{year}} (the “Effective Date”), by and between:

{{company_name}}, a company duly incorporated and existing under the laws of [Relevant African Country], with its principal place of business located at {{company_address}} (hereinafter referred to as the “Company”);

AND

{{assignor_name}}, an individual residing at {{assignor_address}}, (hereinafter referred to as the “Assignor”).

Collectively, the Company and the Assignor may be referred to as the “Parties” and individually as a “Party”.

RECITALS

WHEREAS, the Assignor is the sole creator and owner of all rights, title, and interest in and to the industrial design described in Schedule A attached hereto (the “Industrial Design”);

WHEREAS, the Assignor was engaged by the Company as an {{job_title}} to perform services related to the development of the Industrial Design;

WHEREAS, the Company desires to acquire all rights, title, and interest in and to the Industrial Design, and the Assignor desires to assign all such rights, title, and interest to the Company.

ASSIGNMENT

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Assignor hereby irrevocably assigns, transfers, and conveys to the Company, its successors and assigns, all worldwide right, title, and interest in and to the Industrial Design, including without limitation, all intellectual property rights, copyrights, design rights, and any registrations, applications, renewals, and extensions thereof, whether now known or hereafter existing.

WARRANTIES AND REPRESENTATIONS OF ASSIGNOR

The Assignor hereby represents and warrants to the Company that:

(a) The Assignor is the sole owner of the Industrial Design and has the full right and authority to enter into this Agreement and to assign the Industrial Design to the Company.

(b) The Industrial Design is an original creation of the Assignor and does not infringe upon, misappropriate, or violate any intellectual property rights or other rights of any third party.

(c) The Assignor has not previously assigned, licensed, or otherwise encumbered the Industrial Design.

(d) There are no claims, demands, litigation, or proceedings pending or threatened against the Assignor concerning the Industrial Design.

COOPERATION

The Assignor agrees to execute all further instruments and to take all further actions as may be reasonably requested by the Company to perfect, evidence, or record the assignment of the Industrial Design to the Company, or to enable the Company to obtain, maintain, or enforce any intellectual property rights related to the Industrial Design. Such actions may include, but are not limited to, signing applications, declarations, and assignments.

CONSIDERATION

In consideration for the assignment of the Industrial Design, the Company shall pay to the Assignor the sum of {{amount}} ({{currency}}) on or before {{payment_due_date}}.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of [Relevant African Country]. The Parties hereby irrevocably submit to the exclusive jurisdiction of the courts of [Relevant African Country] for the resolution of any disputes arising out of or in connection with this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
