Influencer Marketing Agreement

This Influencer Marketing Agreement ('Agreement') is made and entered into on this {{date_of_agreement}} by and between:

{{company_name}}, a company duly incorporated under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'Company'); and

{{influencer_name}}, an individual residing at {{influencer_address}}, with social media handles including {{social_media_handles}} (hereinafter referred to as 'Influencer').

Collectively, the Company and the Influencer shall be referred to as the 'Parties'.

1. Engagement and Services

1.1. The Company hereby engages the Influencer, and the Influencer hereby accepts such engagement, to provide marketing and promotional services ('Services') in accordance with the terms and conditions set forth in this Agreement.

1.2. The Services shall include, but not be limited to, the creation and distribution of content across the Influencer's social media channels (e.g., {{platform_names}}) to promote the Company's product(s) or service(s) (hereinafter referred to as 'Product/Service').

1.3. Specific campaign details, deliverables, timelines, and content requirements shall be outlined in a separate Statement of Work (SOW) attached hereto as Schedule A, and subsequently agreed upon by both Parties.

2. Term and Termination

2.1. This Agreement shall commence on {{start_date}} and shall continue in full force and effect until {{end_date}}, unless terminated earlier as provided herein.

2.2. Either Party may terminate this Agreement with {{notice_period}} days' written notice to the other Party.

2.3. The Company may terminate this Agreement immediately upon written notice if the Influencer breaches any material term of this Agreement, including but not limited to, failure to deliver services as agreed, engaging in conduct detrimental to the Company's brand, or violating applicable laws or regulations.

3. Compensation

3.1. In consideration for the Services rendered by the Influencer, the Company shall pay the Influencer a total fee of {{currency}}{{total_fee}} ({{total_fee_words}}) as outlined in Schedule B (Payment Schedule).

3.2. Payment shall be made in {{currency}} within {{payment_days}} days of the Influencer submitting a valid invoice and satisfactory completion of the agreed-upon deliverables, unless otherwise specified in Schedule B.

3.3. The Influencer shall be responsible for all taxes, duties, and other governmental charges arising from the compensation paid under this Agreement.

4. Content Creation and Approval

4.1. All content created by the Influencer for the Company shall be subject to the Company's prior review and approval.

4.2. The Influencer agrees to make all reasonable revisions requested by the Company to ensure brand consistency and adherence to campaign objectives.

4.3. The Influencer shall clearly disclose their relationship with the Company in all promotional content in accordance with relevant advertising standards and consumer protection laws (e.g., #Ad, #Sponsored).

5. Intellectual Property

5.1. The Influencer acknowledges and agrees that all intellectual property rights in the content produced under this Agreement, including but not limited to copyrights, belong to the Company upon full payment, unless otherwise agreed upon in writing.

5.2. The Influencer grants the Company a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any form, media, or technology, whether now known or hereafter developed.

6. Confidentiality

6.1. The Influencer agrees to keep confidential all non-public information, including but not limited to, business plans, marketing strategies, product information, and financial data of the Company, which may be disclosed to the Influencer during the term of this Agreement.

6.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

7. Representations and Warranties

7.1. The Influencer represents and warrants that they have the full right and authority to enter into this Agreement and to perform the Services.

7.2. The Influencer further warrants that the content created will be original, will not infringe upon the intellectual property rights of any third party, and will comply with all applicable laws and regulations.

8. Indemnification

8.1. The Influencer agrees to indemnify, defend, and hold harmless the Company from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the Influencer's breach of any representation, warranty, or covenant contained in this Agreement, or any act or omission by the Influencer in connection with the Services.

9. Governing Law and Dispute Resolution

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

9.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{city}}, {{country}}, in accordance with the rules of {{arbitration_body}}.

10. Entire Agreement

This Agreement, together with its Schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
