INTELLECTUAL PROPERTY AGREEMENT

This Intellectual Property Agreement (hereinafter referred to as 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as 'the Company'); and

{{employee_name}}, an individual residing at {{employee_address}}, with identification number {{id_number}} (hereinafter referred to as 'the Creator').

RECITALS

WHEREAS, the Company is engaged in {{company_business_description}} and requires the Creator to perform certain tasks and services which may involve the creation of intellectual property;

WHEREAS, the Creator is willing to perform such tasks and services and acknowledges that any intellectual property created during the performance of such tasks and services shall belong to the Company.

1. DEFINITIONS

1.1. 'Intellectual Property' shall mean all inventions, discoveries, designs, patents, copyrights, trademarks, trade secrets, know-how, software, data, and any other proprietary rights or creations, whether or not patentable or registrable, developed, conceived, or reduced to practice by the Creator, either alone or with others, in the course of or arising out of the Creator's engagement with the Company.

1.2. 'Engagement' shall mean the period during which the Creator is employed by, contracted by, or collaborating with the Company.

2. ASSIGNMENT OF INTELLECTUAL PROPERTY

2.1. The Creator hereby irrevocably assigns to the Company all right, title, and interest in and to all Intellectual Property developed, conceived, or reduced to practice by the Creator during the Engagement, without further compensation other than the consideration for the Creator's engagement with the Company.

2.2. The Creator agrees to promptly disclose to the Company all Intellectual Property created during the Engagement.

2.3. The Creator further agrees to execute all necessary documents and do all acts reasonably requested by the Company to perfect, secure, register, and enforce the Company's rights in the Intellectual Property, both during and after the Engagement.

3. CONFIDENTIALITY

3.1. The Creator acknowledges that during the Engagement, they may have access to confidential and proprietary information of the Company. The Creator agrees to keep all such information strictly confidential and not to disclose it to any third party or use it for any purpose other than for the benefit of the Company, either during or after the Engagement.

3.2. Confidential Information shall include, but not be limited to, trade secrets, business plans, financial data, customer lists, technical data, product designs, and research and development information.

4. WARRANTIES AND REPRESENTATIONS

4.1. The Creator warrants and represents that all Intellectual Property created by them during the Engagement will be original and will not infringe upon the intellectual property rights of any third party.

4.2. The Creator further warrants that they have the full right and authority to enter into this Agreement and to make the assignments and agreements herein contained.

5. GOVERNING LAW AND JURISDICTION

5.1. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

5.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

6. ENTIRE AGREEMENT

6.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

6.2. No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
