IP LICENSE AGREEMENT

This Intellectual Property License Agreement (the "Agreement") is made and entered into on this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}} (the "Effective Date"), By and Between:

{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its registered office at {{licensor_address}} (hereinafter referred to as "Licensor");

AND

{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its registered office at {{licensee_address}} (hereinafter referred to as "Licensee").

Licensor and Licensee are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

1. DEFINITIONS

1.1 "Intellectual Property" refers to the patents, trademarks, copyrights, trade secrets, and other proprietary rights owned by the Licensor as further described in Schedule A.

1.2 "Licensed Products" means the products or services manufactured, used, sold, offered for sale, or imported by Licensee that incorporate or embody the Intellectual Property.

1.3 "Territory" means {{territory_description}}.

1.4 "Royalties" means the payments due to Licensor for the Licensee's use of the Intellectual Property, as outlined in Section 5.

2. GRANT OF LICENSE

2.1 Licensor hereby grants to Licensee, and Licensee hereby accepts, a {{exclusive_non_exclusive}} right and license to use the Intellectual Property within the Territory for the purpose of {{purpose_of_license}} (the "Permitted Use").

2.2 This license is granted for a term commencing on the Effective Date and continuing for a period of {{license_term_years}} ({{license_term_years_words}}) years, unless terminated earlier in accordance with the provisions of this Agreement.

3. INTELLECTUAL PROPERTY OWNERSHIP

3.1 Licensee acknowledges and agrees that all right, title, and interest in and to the Intellectual Property shall remain solely and exclusively with the Licensor.

3.2 Licensee shall not, at any time, challenge the validity or ownership of the Intellectual Property or assist any third party in doing so.

4. LICENSEE'S OBLIGATIONS

4.1 Licensee shall use the Intellectual Property strictly in accordance with the terms and conditions of this Agreement and any guidelines provided by the Licensor.

4.2 Licensee shall maintain the quality of the Licensed Products at a level consistent with the reputation of the Licensor and the Intellectual Property.

4.3 Licensee shall not sublicense, assign, or transfer any rights granted under this Agreement without the prior written consent of the Licensor.

5. ROYALTIES AND PAYMENT TERMS

5.1 In consideration for the license granted herein, Licensee shall pay Licensor royalties calculated as {{royalty_percentage}}% of the net sales of all Licensed Products sold by Licensee.

5.2 Royalties shall be paid {{payment_frequency}} (e.g., quarterly) within {{days_for_payment}} days after the end of each {{payment_period_unit}}.

5.3 All payments shall be made in {{currency}} to the bank account designated by the Licensor.

5.4 Licensee shall keep accurate records of all sales of Licensed Products, which records shall be subject to audit by Licensor upon reasonable notice.

6. CONFIDENTIALITY

6.1 Both Parties agree to keep confidential all non-public information disclosed by one Party to the other during the term of this Agreement and for a period of {{confidentiality_period_years}} years thereafter.

6.2 This obligation of confidentiality shall not apply to information that is publicly known, independently developed, or rightfully obtained from a third party.

7. INDEMNIFICATION

7.1 Licensee shall indemnify, defend, and hold harmless Licensor from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with Licensee's use of the Intellectual Property or breach of this Agreement.

7.2 Licensor shall indemnify, defend, and hold harmless Licensee from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any claim that the Intellectual Property infringes the intellectual property rights of a third party, provided Licensee promptly notifies Licensor of any such claim.

8. TERMINATION

8.1 Either Party may terminate this Agreement upon thirty (30) days' written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within the notice period.

8.2 Upon termination, all rights granted to Licensee hereunder shall immediately cease, and Licensee shall cease all use of the Intellectual Property and return all related materials to Licensor.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

9.2 Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of {{arbitration_institution}} in {{arbitration_city}}, {{arbitration_country}}.

10. ENTIRE AGREEMENT

10.1 This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and discussions, whether oral or written.

11. SIGNATURES

IN WITNESS WHEREOF, the Parties have executed this Intellectual Property License Agreement as of the Effective Date.
