LAND PURCHASE AGREEMENT

This Land Purchase Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} ("Effective Date")

BETWEEN:

{{seller_name}}, of {{seller_address}} (hereinafter referred to as "the Seller"), and

{{buyer_name}}, of {{buyer_address}} (hereinafter referred to as "the Buyer").

1. PROPERTY DESCRIPTION

The Seller agrees to sell and the Buyer agrees to purchase, subject to the terms and conditions set forth herein, the following described property (hereinafter referred to as "the Property"): {{property_full_description}}.

The Property is located at {{property_address}}, {{city}}, {{region}}, {{country}}, and is identified by {{land_title_number}} / {{cadastral_map_reference}}. The approximate size of the Property is {{land_area}} {{unit_of_measure}} (e.g., acres, hectares, square meters).

2. PURCHASE PRICE AND PAYMENT

Payment shall be made as follows:

3. CONDITIONS OF SALE

This Agreement is conditional upon:

b) A satisfactory soil and environmental assessment of the Property by the Buyer within {{assessment_days}} days from the Effective Date.

c) The Seller providing all necessary documentation for the transfer of the land title, free from any encumbrances, liens, or disputes, within {{document_provision_days}} days from the Effective Date.

4. TRANSFER OF TITLE AND POSSESSION

Upon full payment of the purchase price, the Seller shall execute all necessary documents to transfer the clear and marketable title of the Property to the Buyer. The Buyer shall take possession of the Property on the Closing Date.

All costs associated with the transfer of title, including but not limited to stamp duty, registration fees, and legal fees, shall be borne by {{party_responsible_for_transfer_costs}}.

5. REPRESENTATIONS AND WARRANTIES

The Seller represents and warrants that:

a) The Seller is the sole legal owner of the Property and has the full right, power, and authority to sell the Property.

b) The Property is free from all liens, encumbrances, and adverse claims, except as disclosed in writing to the Buyer prior to the Effective Date.

c) There are no ongoing or threatened legal actions or proceedings affecting the Property.

The Buyer acknowledges that they have inspected the Property and are purchasing it in its current "as-is" condition, subject to the conditions outlined in Section 3.

6. BREACH OF AGREEMENT

In the event of a breach of this Agreement by either party, the non-breaching party shall have the right to pursue all remedies available at law or in equity, including but not limited to specific performance or damages.

7. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute arising out of or in connection with this Agreement shall be resolved through amicable negotiations. If such negotiations fail, the parties agree to submit to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

8. ENTIRE AGREEMENT
