LAYBYE AGREEMENT

PARTIES

This Laybye Agreement (hereinafter referred to as "the Agreement") is made and entered into between:

DESCRIPTION OF GOODS

The Seller agrees to sell and the Purchaser agrees to purchase the following goods (hereinafter referred to as "the Goods"):

PURCHASE PRICE AND PAYMENT TERMS

A. **Total Purchase Price:** The total purchase price for the Goods is {{total_purchase_price}} ({{total_purchase_price_words}}).

B. **Deposit:** The Purchaser shall pay a non-refundable deposit of {{deposit_amount}} ({{deposit_amount_words}}) on or before {{deposit_due_date}}.

C. **Installments:** The remaining balance of {{remaining_balance}} shall be paid in {{number_of_installments}} installments of {{installment_amount}} each. CANCELLATION BY PURCHASER

Should the Purchaser cancel this Agreement for any reason, the Seller shall be entitled to deduct a cancellation penalty equal to {{cancellation_penalty_percentage}}% of the total purchase price, or actual damages suffered, whichever is higher, in accordance with applicable consumer protection laws. Any remaining amount from payments made will be refunded to the Purchaser within {{refund_days}} business days of cancellation.

CANCELLATION BY SELLER

The Seller reserves the right to cancel this Agreement if the Purchaser fails to make any scheduled payment within {{grace_period_days}} days of its due date. In such an event, the provisions of the 'Cancellation by Purchaser' clause regarding penalties and refunds shall apply.

COLLECTION OF GOODS

Upon full and final payment of the total purchase price, the Purchaser may collect the Goods from the Seller's premises located at {{collection_address}} during standard business hours. The Purchaser must present this Agreement and proof of identity upon collection. Goods must be collected within {{collection_days}} days of the final payment, failing which storage fees of {{storage_fee_amount}} per day may apply.

RISK AND OWNERSHIP

Ownership of the Goods shall remain vested in the Seller until the full purchase price has been paid. Risk of loss or damage to the Goods shall pass to the Purchaser upon collection.

GENERAL PROVISIONS

A. This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements.

B. Any amendment to this Agreement must be in writing and signed by both parties.

C. This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
