LEASE ASSIGNMENT AGREEMENT

This Lease Assignment Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. **{{Assignor_company_name}}**, a company registered in accordance with the laws of South Africa, with its principal place of business at {{Assignor_address}} (hereinafter referred to as "the Assignor").

2. **{{Assignee_company_name}}**, a company registered in accordance with the laws of South Africa, with its principal place of business at {{Assignee_address}} (hereinafter referred to as "the Assignee").

3. **{{Landlord_company_name}}**, a company registered in accordance with the laws of South Africa, with its principal place of business at {{Landlord_address}} (hereinafter referred to as "the Landlord").

(The Assignor, Assignee, and Landlord are collectively referred to as "the Parties" and individually as "a Party").

RECITALS

WHEREAS, the Assignor is the tenant under a Lease Agreement dated {{original_lease_date}} (the "Original Lease") with the Landlord, for the property located at {{property_address}} (the "Leased Premises"). A copy of the Original Lease is attached hereto as Schedule A.

WHEREAS, the Assignor desires to assign all of its rights, title, and interest as tenant in the Original Lease to the Assignee.

WHEREAS, the Assignee desires to accept such assignment and assume all of the Assignor's obligations under the Original Lease.

WHEREAS, the Landlord consents to such assignment, subject to the terms and conditions set forth herein.

ASSIGNMENT

1.1. The Assignor hereby assigns, transfers, and sets over unto the Assignee all of its right, title, and interest as tenant in and to the Original Lease, together with all rights and appurtenances belonging thereto.

1.2. The Assignee hereby accepts the assignment of the Original Lease and assumes all of the obligations, duties, and covenants of the tenant thereunder, effective from {{effective_assignment_date}} (the "Effective Date").

CONSENT OF LANDLORD

2.1. The Landlord hereby consents to the assignment of the Original Lease from the Assignor to the Assignee, subject to the terms and conditions of this Agreement.

2.2. The Landlord acknowledges that, as of the Effective Date, the Assignee shall be considered the tenant under the Original Lease and shall be directly liable for all obligations arising thereunder.

2.3. The Landlord further agrees that the Assignor shall be released from all future obligations under the Original Lease arising from and after the Effective Date, save for any breaches or liabilities that occurred prior to the Effective Date.

REPRESENTATIONS AND WARRANTIES

3.1. The Assignor represents and warrants to the Assignee and the Landlord that:

a) It has the full right, power, and authority to assign the Original Lease.

b) The Original Lease is in full force and effect and has not been modified or amended except as disclosed to the Assignee.

c) There are no defaults by the Assignor under the Original Lease.

3.2. The Assignee represents and warrants to the Assignor and the Landlord that it has reviewed the Original Lease and understands its terms and conditions.

INDEMNIFICATION

4.1. The Assignor agrees to indemnify and hold harmless the Assignee and the Landlord from and against any and all claims, demands, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from any breach of the Original Lease by the Assignor prior to the Effective Date.

4.2. The Assignee agrees to indemnify and hold harmless the Assignor and the Landlord from and against any and all claims, demands, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from any breach of the Original Lease by the Assignee on or after the Effective Date.

GOVERNING LAW AND JURISDICTION

5.1. This Agreement shall be governed by and construed in accordance with the laws of South Africa.

5.2. The Parties hereby irrevocably submit to the non-exclusive jurisdiction of the courts of South Africa for the purpose of any suit, action, or other proceeding arising out of or relating to this Agreement or the Original Lease.

ENTIRE AGREEMENT

6.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

6.2. No amendment or modification of this Agreement shall be valid unless in writing and signed by all Parties.
