LICENSE AGREEMENT - INSTALL, CONSTRUCT, OPERATE, MAINTAIN

This License Agreement ("Agreement") is made and entered into as of {{date}} ("Effective Date") by and between:

{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as "Licensor");

AND

{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as "Licensee").

Licensor and Licensee are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

RECITALS

WHEREAS, Licensor is the owner of, or has rights to, certain property located at {{property_address}} ("Licensed Premises").

WHEREAS, Licensee desires to install, construct, operate, and maintain certain {{equipment_description}} ("Equipment") on the Licensed Premises.

WHEREAS, Licensor is willing to grant Licensee a non-exclusive license to use a portion of the Licensed Premises for the aforementioned purposes, subject to the terms and conditions hereinafter set forth.

GRANT OF LICENSE

Licensor hereby grants to Licensee a non-exclusive, revocable license to enter upon and use a designated area of the Licensed Premises (as more specifically described in Schedule A attached hereto) for the sole purpose of installing, constructing, operating, and maintaining the Equipment.

The Licensee shall not use the Licensed Premises for any other purpose without the prior written consent of the Licensor.

TERM AND TERMINATION

This Agreement shall commence on the Effective Date and shall continue for a period of {{initial_term_years}} years, unless terminated earlier in accordance with the provisions of this Agreement.

Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party in the event of a material breach of this Agreement that is not cured within such notice period.

Upon termination, Licensee shall remove all Equipment from the Licensed Premises within {{removal_days}} days and restore the Licensed Premises to its original condition, fair wear and tear excepted.

LICENSE FEES AND PAYMENT

Licensee shall pay to Licensor a license fee of {{currency}} {{initial_license_fee}} per {{payment_frequency}} commencing from {{first_payment_date}}.

All payments shall be made promptly on or before the due date as specified in this Agreement or any attached payment schedule.

Late payments shall incur interest at a rate of {{interest_rate_percent}}% per annum, calculated daily from the due date until the date of actual payment.

MAINTENANCE AND REPAIRS

Licensee shall be solely responsible for the installation, construction, operation, maintenance, repair, and removal of the Equipment at its own cost.

Licensee shall ensure that all work performed on the Licensed Premises complies with all applicable laws, regulations, and industry standards.

Licensor shall not be responsible for any costs associated with the Equipment or its operation.

INDEMNIFICATION AND INSURANCE

Licensee shall indemnify, defend, and hold harmless Licensor from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from Licensee's use of the Licensed Premises or operation of the Equipment.

Licensee shall maintain comprehensive general liability insurance with a reputable insurer, with coverage limits of not less than {{currency}} {{insurance_coverage_amount}}, and shall name Licensor as an additional insured.

Proof of insurance shall be provided to Licensor upon request.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, interpretation, performance, breach or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of the {{arbitration_institution}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
